星宏傳媒(01616.HK)：Aim Right將成為公司單一最大主要股東
格隆匯6月30日丨星宏傳媒(01616.HK)宣佈，三份延期協議所載所有先決條件已達成且第三次延期已根據第三份延期協議的條款及條件及第三份延期條款於2021年6月30日完成。於第三次延期完成後，發行在外債券到期日將延長至2021年6月30日。
同日宣佈，公司已向Dragon Capital 就轉讓表示同意，且轉讓協議的所有先決條件已達成。因此，轉讓於2021年6月30日進行及公司於完成轉讓後按相同條款向Aim Right發行本金總額為5000萬港元的Aim Right債券以取代發行在外債券。
經扣除專業費用及所涉及其他成本後，首次發行債券之所得款項淨額約2.9535億港元已悉數用於集團的電影及電視劇。
於2021年6月30日，公司收到Aim Right 的轉換通知，其行使權利按經調整換股價每股換股股份0.156港元將Aim Right債券的全部本金額轉換為3.21億股換股股份。
因Aim Right債券所附換股權獲行使，公司將根據股東於2021年6月16日舉行的公司股東特別大會上授予董事的Aim Right特別授權，向Aim Right配發及發行3.21億股換股股份。換股股份將在所有方面與於配發日期的全部現有已發行股份及彼此之間具有同等地位。
緊隨發行換股股份完成後，公司已發行股份數目將增加至19.67億股，而3.21億股換股股份相當於(i)緊接轉換前公司現有已發行股本約19.47%；及(ii)經配發及發行換股股份擴大後公司已發行股本約16.30%。
配發及發行換股股份已於2021年6月30日進行。由於Aim Right完成轉讓及行使換股權，轉換後概無餘下或未轉換的發行在外債券或Aim Right債券。緊隨轉換完成後，Aim Right 將持有合共5.23億股股份(相當於經配發及發行換股股份擴大後公司全部已發行股本約26.59%)，將成為公司單一最大主要股東。
