上海機場(600009.SH)：擬獲注入虹橋機場相關機場業務核心經營性資產及配套航空延伸業務 明起復牌
格隆匯6月24日丨上海機場(600009.SH)公佈，公司擬通過發行股份的方式購買機場集團持有的虹橋公司100%股權、物流公司100%股權和浦東第四跑道。本次發行股份購買資產的定價基準日為上海機場第八屆董事會第十八次會議決議公吿日，發行價格為44.09元/股。
交易完成後，虹橋公司和物流公司將成為上市公司全資子公司，浦東第四跑道將成為上市公司持有的資產。
本次交易中，為提高本次交易整合績效，公司擬向機場集團非公開發行股票募集配套資金。本次募集配套資金定價基準日為上海機場第八屆董事會第十八次會議決議公吿日，發行價格為39.19元/股。
本次募集配套資金規模預計不超過60億元，根據發行價格為39.19元/股測算，發行數量不超過153,100,280股。本次募集配套資金擬發行的股份數量不超過本次重組前公司總股本的30%，募集配套資金總額不超過本次交易擬以發行股份購買資產交易價格的100%，最終發行數量以中國證監會核准的發行數量為準。
本次募集配套資金擬用於支付本次交易中的中介機構費用、交易税費等相關併購費用、補充公司及標的資產流動資金、償還債務、標的資產的項目建設等。
本次交易擬通過注入機場集團所持虹橋機場相關機場業務核心經營性資產及配套盈利能力較好的航空延伸業務，通過上市平台整合航空主營業務及資產，實現做優做強上市公司的目的。同時，本次交易有利於優化上海兩場航線航班的統一資源配置，根據市場需求統籌調整航線結構，激發潛在國際航運量，帶動長三角機場羣乃至城市羣的建設發展，更好地輻射長三角等區域經濟帶，並強化上海國際航空樞紐的市場地位，從而有利於提升上市公司盈利能力和核心競爭力。本次交易完成後，依託上海機場的資源優勢發展極具潛力的貨運物流業務，從而實現業務的快速擴張，打造新的盈利增長點，促進上市公司可持續發展。
根據相關規定，經向上交所申請，公司股票自2021年6月25日(星期五)開市起復牌。
