四維圖新(002405.SZ)：受讓四維互聯基金份額及四維天盛36.90%股權
格隆匯6月24日丨四維圖新(002405.SZ)公佈，公司於2021年6月23日召開第五屆董事會第七次會議、第五屆監事會第五次會議審議通過了《關於受讓北京金盛博基資產管理有限公司持有的北京四維互聯基金管理中心(有限合夥)基金份額，及受讓北京金盛博基資產管理有限公司持有的北京四維天盛投資管理有限公司股權暨關聯交易的議案》，同意受讓北京四維互聯基金管理中心(有限合夥)基金份額及四維天盛股權暨關聯交易事項。
公司於2017年4月24日第三屆董事會第二十八次會議和2016年度股東大會均審議通過了《關於參與投資設立併購基金暨關聯交易的議案》，設立北京四維互聯基金管理中心(有限合夥)(“四維互聯基金”)；2019年2月26日，四維圖新召開第四屆董事會第十四次會議，審議通過《關於縮減併購基金規模及變更基金關鍵人等的議案》。北京四維互聯基金管理中心(有限合夥)基金規模5億元人民幣，於2017年12月設立，其中投資期3年，退出期2年。四維圖新投資11400萬元，佔基金總規模的22.80%；北京金盛博基資產管理管理有限公司(“金盛博基”)投資2000萬元，佔基金總規模的4%。
經與金盛博基溝通協商並按照2017年12月簽署的《合夥協議》的約定，其份額的轉讓對價定為26,058,611.11元。
按照2017年12月簽署的《北京四維互聯基金管理中心(有限合夥)與北京四維天盛投資管理有限公司之委託投資及管理協議》的約定，四維互聯基金的管理人為北京四維天盛投資管理有限公司(“四維天盛”)，其中金盛博基持有四維天盛36.90%的股權。
經與金盛博基溝通協商，四維圖新受讓金盛博基持有的四維天盛36.90%的股權，其轉讓對價為369萬元對應的註冊資本369萬元。
考慮到目前投融資市場及宏觀環境影響，四維圖新提前購買金盛博基持有四維互聯基金的份額及四維天盛的股權，可以減少財務成本，提高資金使用效率，進一步增強公司持續經營能力，符合公司目前資金的整體安排，滿足公司的經營發展需要。
