旗天科技(300061.SZ)：興路基金通過大宗交易和表決權委託控制公司股權比例達11.45%
格隆匯6月22日丨旗天科技(300061.SZ)公佈，公司於2021年6月22日收到公司持股5%以上股東費錚翔的通知：2021年6月22日，費錚翔通過大宗交易方式向興路基金轉讓了其持有的上市公司600萬股無限售條件流通股。同日，費錚翔與興路基金簽署了《關於旗天科技集團股份有限公司的表決權委託協議》。
2021年6月22日，費錚翔通過大宗交易方式向興路基金轉讓其持有的公司600萬股無限售條件流通股，佔公司總股本的0.91%，佔剔除回購專用證券賬户中的股份後上市公司總股本的0.91%。此次股份轉讓的價格為8.78元/股，股份轉讓價款的總額為5268萬元。
費錚翔將其持有的上市公司6946.5238萬股股份(佔公司總股本的10.51%，佔剔除回購專用證券賬户股份後總股本的10.54%)之投票表決權以及提名權、提案權、股東大會召集、召開權、出席權等相關權利(統稱為“表決權”)獨家地、無償地委託給興路基金行使，興路基金作為委託股份唯一、排他的全權委託代理人。費錚翔先生放棄委託股份之外的其他股份的表決權。
此次交易前，費錚翔持有公司112,914,093股股份，佔公司總股本的17.08%，佔剔除回購專用賬户中的股份後公司總股本的17.13%；興路基金未持有公司股份。
此次交易後，費錚翔持有公司106,914,093股股份，佔公司總股本的16.18%，佔剔除回購專用賬户中的股份後公司總股本的16.22%；擁有公司表決權0股，佔公司總股本的0.00%，佔剔除回購專用賬户中的股份後公司總股本的0.00%。興路基金持有公司600萬股股份，佔公司總股本的0.91%，佔剔除回購專用賬户中的股份後公司總股本的0.91%；擁有公司表決權7546.5238萬股，佔公司總股本的11.42%，佔剔除回購專用賬户中的股份後公司總股本的11.45%。
