天際股份(002759.SZ)：關聯方資金佔用事項未履行審批程序、亦未及時披露 收到廣東證監局警示函
格隆匯6月22日丨天際股份(002759.SZ)公佈，公司近日收到中國證券監督管理委員會廣東監管局(“廣東證監局”)《關於對廣東天際電器股份有限公司、吳錫盾、楊志軒採取出具警示函措施的決定》([2021]33號)，現將有關情況公吿如下：
《警示函》的主要內容
“廣東天際電器股份有限公司、吳錫盾、楊志軒：
經查，廣東天際電器股份有限公司存在以下違規問題：
2018年12月至2020年4月，天際股份控股股東汕頭市天際有限公司(“汕頭天際”)通過公司供應商借款的名義非經營性佔用天際股份資金合計8200萬元，直至2021年4月才歸還相關款項和利息，天際股份對上述關聯方資金佔用事項未履行審批程序，亦未及時披露，違反《上市公司信息披露管理辦法》（證監會令第40號）第二條、第三十條、第四十八條等規定。
天際股份實際控制人、董事長、總經理吳錫盾，財務總監楊志軒未按照《上市公司信息披露管理辦法》(證監會令第40號)第三條的規定履行勤勉盡責義務，對公司上述相關違規行為負有主要責任。
根據《上市公司信息披露管理辦法》（證監會令第40號）第五十九條的規定，我局決定對天際股份、吳錫盾、楊志軒採取出具警示函的行政監管措施。你們應認真吸取教訓，切實加強對證券法律法規的學習，依法真實、準確、完整、及時、公平地履行信息披露義務，完善內部控制機制，杜絕類似問題再次發生，同時公司應對相關責任人員進行內部問責，於收到本決定書30日內向我局報送整改報吿、內部問責情況，並抄報深圳證券交易所。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請；也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司及相關人員收到上述《警示函》後，高度重視《警示函》中指出的問題，公司及相關人員充分吸取教訓，加強對《上市公司信息披露管理辦法》等法律法規及規範性文件的學習，強化公司財務管理制度，完善內部控制機制，切實提高公司規範運作水平及信息披露質量，杜絕類似事件的發生，公司將按照《警示函》要求在規定時間向廣東證監局報送整改報吿。
