遠洋服務(06677.HK)：與遠洋集團訂立商業運營服務總協議 加強協同效益、強化商業資產管理及運營的能力
格隆匯6月14日丨遠洋服務(06677.HK)公佈，2021年6月14日，公司(代表集團各成員公司)與遠洋集團(代表各遠洋關連人士)訂立商業運營服務總協議，據此，公司(代表集團各成員公司)同意向遠洋關連人士的商寫物業(包括購物商場及寫字樓)提供商業運營服務。
商業運營服務總協議的初始固定期限自商業運營服務總協議日期起至2021年12月31日止(“初始期限”)。待獨立股東於股東特別大會上批准後，初始期限將自動延期兩年至2023年12月31日。
商業運營服務總協議項下的最高總交易金額不得超過以下上限：
集團是一家綜合性物業管理服務提供商，在中國擁有廣闊的地理覆蓋範圍，主要從事提供(i)物業管理服務；(ii)社區增值服務；及(iii)非業主增值服務。為進一步擴大集團的業務規模及提供多元化的服務，公司已設立商業資產管理平台，該平台將自2021年下半年開始主要為購物商場、寫字樓及其他類型的投資物業提供商業運營服務。
商業運營服務可視為傳統物業管理服務的延伸及補充。由同一家服務提供商提供傳統物業管理服務及商業運營服務，能夠更有效地善用現有資源(包括人員及設備)、提升執行效率、優化服務質量及在管理不同類型的物業時創造協同效益。尤其是，通過共享住宅社區、寫字樓、商業物業等各類物業之間的客户資源達致傳統物業管理服務與商業運營服務的協同效益。住宅社區積累的大量客户為購物商場及寫字樓提供穩定的客户基礎，同時，為居民提供便捷愉悦的購物及辦公體驗，有利於提升客户體驗、滿意度及忠誠度。提供傳統物業管理服務與商業運營服務的經驗及專業知識可被視為相輔相成，互為補充。
集團擁有專業團隊，就不同類型的物業為不同客户提供不同種類服務方面擁有多年經驗，具備提供商業運營服務的能力。集團於實施拓展商業運營服務的業務戰略過程中，將為遠洋關連人士、獨立第三方開發商及其他物業管理公司開發或持有的購物商場、寫字樓及其他投資物業提供高質量的商業運營服務。集團與遠洋關連人士建立了長期的業務關係，相互瞭解對方的標準、要求及具體需求。公司認為，與遠洋關連人士訂立商業運營服務總協議及其項下擬進行的交易將加強集團與遠洋關連人士之間的協同效益，有助集團強化其商業資產管理及運營的能力，從而加快擴大集團的業務規模，提高其市場份額。
