隆平高科(000998.SZ)：隆平生物擬引入戰略性投資者央企基金 公司持股降至18.13%
格隆匯6月11日丨隆平高科(000998.SZ)公佈，公司控股子公司隆平生物技術(海南)有限公司(“隆平生物”)成立於2019年5月10日，註冊資本5970萬元，系公司旗下專業從事農作物抗蟲、抗除草劑轉基因性狀研發的生物技術企業。公司現持有隆平生物52.34%股權，對應注冊資本3125萬元。
為了確保科研成果服務國家戰略，公司在考慮市場化、商業性的基礎上，擬與具有較好的股東背景、產業資源和資本實力的知名企業進行合作，通過優化體制機制、共同強化資本支撐等方式，繼續支持隆平生物的中長期發展。為此，隆平生物擬進行增資擴股並引入優勢戰略性投資者。
根據開元資產評估有限公司出具的估值報吿(開元評資字[2021]092號)，經協商，中央企業貧困地區產業投資基金股份有限公司(“央企基金”)、姜任飛(現有股東)擬分別以人民幣12562.81萬元、1675.04萬元的價格認購隆平生物新增註冊資本人民幣750萬元、100萬元，取得此次交易完成後隆平生物全面稀釋基礎上10.46%、1.39%的股權，溢價部分均計入隆平生物資本公積。
根據實際情況，隆平生物核心團隊成立的合夥企業所持部分股份進行內部轉讓調整。公司及隆平生物其他現有股東放棄上述事項的優先認繳出資權。
同時，公司以28475.7119萬元對價向央企基金轉讓所持隆平生物的28.48%的股份(對應注冊資本1700萬元)；為激勵隆平生物核心團隊，結合2020年《隆平生物增資協議》約定，公司將對隆平生物的125萬元股權認繳權以零對價轉讓給隆平生物核心團隊成立的合夥企業海南智玉農業信息諮詢合夥企業(有限合夥)(“智玉農業”)。並擬在前述交易完成工商變更登記後，由隆平生物的股權激勵平台(暫定為智玉農業，以屆時確認的主體為準)以1元/股註冊資本的價格認購隆平生物新增的350萬元註冊資本。
上述增資及股權轉讓完成後，隆平生物的註冊資本由5970萬元變更為7170萬元，公司對隆平生物的持股比例由52.34%變更為18.13%，隆平生物不再納入公司合併報表範圍。
此次引入投資者有利於推進公司生物技術戰略，增強公司轉基因性狀研發投入，提升公司在生物技術領域的競爭能力，符合公司戰略發展方向和長遠利益。此次交易將導致公司合併範圍發生變化，隆平生物將不再納入公司合併報表範圍。此次交易對公司財務報表損益影響約3.5-4.0億元，具體金額以審計報吿最終審定結果為準。
