融鈺集團(002622.SZ)：擬收購口腔醫療服務的企業德倫醫療67%股權
格隆匯5月27日丨融鈺集團(002622.SZ)公佈，公司擬以支付現金的方式向共青城德倫、歡樂基金購買其持有的德倫醫療67%的股權，其中向共青城德倫購買其持有德倫醫療52%的股權、向歡樂基金購買其持有德倫醫療15%的股權。此次交易不涉及發行股份購買資產及募集配套資金。
共青城德倫、黃招標、黃維通擬作為此次業績承諾方，按照中國證監會、深圳證券交易所的相關規則及交易雙方的約定，對標的公司2021年度、2022年度、2023年度的業績實現情況作出相關承諾，並在標的公司不能完成承諾之業績時對融鈺集團進行補償。結合目前標的公司經營及未來發展情況，2021-2023年度標的公司預計業績目標如下：(1)2021年度業績目標為3000萬元；(2)2022年度業績目標為5000萬元；(3)2023年度業績目標為8000萬元。前述業績目標是指標的公司當年度合併報表口徑下的淨利潤，具體業績目標金額以評估機構出具的評估報吿為準。
截至預案簽署日，標的公司的審計、評估或估值相關工作尚未完成。根據與評估機構的初步溝通，並經交易各方初步協商，參與業績承諾的交易對方共青城德倫獲得的交易對價擬按照德倫醫 療100%股權作價5.5億元至6.5億元的價格乘以其交易的股權比例進行計算，交易對價擬為2.86億元至3.38億元；不參與業績承諾的交易對方歡樂基金獲得的交易對價擬按照德倫醫療100%股權作價不超過4.9億元的價格乘以其交易的股權比例進行計算，交易對價擬不超過7350萬元。
標的公司德倫醫療是一家以口腔醫療服務連鎖經營為核心，專注於口腔疾病的診斷、治療以及口腔保健、修復服務等口腔醫療服務的企業。此次交易完成後，德倫醫療將成為上市公司的控股子公司，上市公司將快速切入醫療健康行業，布局醫療服務領域。德倫醫療所在的口腔診療服務行業前景良好，市場潛力巨大，此次交易將有利於上市公司開拓新的業務空間，培育新的盈利增長點，有利於保護全體股東特別是中小股東的利益，實現利益相關方共贏的局面。
