偉祿集團(01196.HK)：要約人要求先施舉行股東大會以委任及罷免多名董事
格隆匯5月26日丨偉祿集團(01196.HK)發佈公吿，於2021年5月7日要約已於所有方面成為無條件，要約人已成為持有先施逾50%表決權的先施大股東。為確保先施董事會及先施管理層順利過渡，要約人已尋求先施董事會協助提名及委任兩名新董事（即由陳曙鍵先生出任非執行董事及由鍾振雄先生出任獨立非執行董事）加入先施董事會，並自緊隨迴應文件寄發後的下一個營業日起生效。要約人亦已尋求先施董事會協助於要約截止後提名及委任六名新董事加入先施董事會。
然而，儘管已向先施及╱或其法律顧問提供有關建議委任陳先生及鍾先生的所有相關及必要的文件和資料，但要約人並無獲吿知有關委任董事的任何進展，及至2021年5月21日，要約人接獲通知指陳先生及鍾先生尚未獲得委任，以及提名委員會、薪酬委員會及先施董事會會議僅訂於2021年5月25日舉行。截至2021年5月25日營業時間結束為止，儘管要約人曾多次作出查詢，但要約人仍未接獲先施董事會有關批准任何建議委任的任何確認。
鑑於上文所述情況，要約人對現有先施董事會的正常運作產生重大疑慮。於2021年5月25日，要約人向先施的註冊辦事處及先施的公司祕書送交及存放日期為同日的書面請求，要求先施董事會於2021年6月15日或之前召開先施股東大會，以考慮及酌情通過以先施的普通決議案通過以下決議案：動議只要林曉輝博士於偉祿要求召開及舉行的請求股東大會之前未獲委任為先施董事；動議只要蘇嬌華女士於偉祿要求召開及舉行的請求股東大會之前未獲委任為先施董事；動議只要禹來博士於偉祿要求召開及舉行的請求股東大會之前未獲委任為先施董事；動議只要陳曙鍵先生於偉祿要求召開及舉行的請求股東大會之前未獲委任為先施董事；動議只要戴德豐博士於偉祿要求召開及舉行的請求股東大會之前未獲委任為先施董事；動議只要餘亮暉先生於偉祿要求召開及舉行的請求股東大會之前未獲委任為先施董事；動議只要袁寶玉先生於偉祿要求召開及舉行的請求股東大會之前未獲委任為先施董事；動議只要鍾振雄先生於偉祿要求召開及舉行的請求股東大會之前未獲委任為先施董事；動議謹此解除馬景煊先生的先施執行董事、主席及行政總裁職務（及任何其他職務；動議謹此解除陳文衞先生的先施非執行董事職務；動議謹此解除馬景榮先生的先施獨立非執行董事職務；動議（倘適用）謹此罷免自2021年5月25日（為免生疑問，亦包括該日）起至緊接請求股東大會之前為止可能獲委任為先施執行董事╱非執行董事職╱獨立非執行董事的任何其他人士。
