海爾智家(06690.HK)建議就A股員工持股計劃第一期購買A股的成本最高為7.08億元
格隆匯5月26日丨海爾智家(06690.HK)公佈，公司擬採用各類別股票增加對核心管理層和全球不同市場優秀人才的激勵力度。此外，公司擬於激勵計劃項下保持廣泛的覆蓋範圍，以加強激勵，惠及更多的關鍵僱員，特別是海外員工。因此，董事會於2021年5月25日舉行的董事會會議上決定，建議採納A股員工持股計劃、H股員工持股計劃及受限制股份單位計劃。預期集團常居中國內地境內的相關員工將主要由A股員工持股計劃及H股員工持股計劃覆蓋，而公司常居中國內地境外的相關員工將主要由受限制股份單位計劃覆蓋。
亦擬定集團的核心高級管理層（初步合共有35名）將參與A股員工持股計劃及H股員工持股計劃，致使待通過表現考核後，彼等將有權獲得A股及H股權益。本公司相信，以A股及H股形式提呈激勵予核心高級管理層，符合股東就核心管理團隊應獲激勵為A股及H股股東創造價值的期望。A股員工持股計劃、H股員工持股計劃及受限制股份單位計劃仍須經股東於股東周年大會上審議及批准後方可作實。
公吿稱，公司將向A股員工持股計劃提供其購回的A股，或從激勵基金提取資金以供從二級市場購買A股以供日後歸屬。建議就A股員工持股計劃第一期根據A股員工持股計劃購買A股的成本最高將為人民幣7.08億元。
此外，公司將從激勵基金提取資金供H股員工持股計劃從二級市場（透過港股通）購買H股以供日後歸屬。建議就H股員工持股計劃第一期根據H股員工持股計劃授予購買H股的成本最高將為人民幣9,000萬元。
於2020年12月H股在聯交所成功上市後，公司建議採納受限制股份單位計劃，以讓其員工擁有H股股權及向其提供獎勵。現時預期H股將由受託人於香港的二級市場購買。建議在2021年根據受限制股份單位計劃授予受託人購買H股的成本最高將為人民幣1.02億元（相當於約1.23億港元）。
