ST摩登(002656.SZ)：武漢悦然及其下屬公司部分公司資料失控
格隆匯5月16日丨ST摩登(002656.SZ)公佈，武漢悦然心動網絡科技有限公司系公司於2016年10月簽訂《發行股份及支付現金購買資產協議》從顏慶華、劉金柱、趙威、陳國興等人處全資收購的一家網絡科技公司。收購完成後，武漢悦然一直由顏慶華、劉金柱、趙威、陳國興、雷述超等（下稱“武漢悦然原管理層團隊”）負責具體經營管理。因武漢悦然業績急劇下滑、虧損不斷擴大，2021年4月，公司擬啟動對武漢悦然原管理層團隊的專項審計，並以武漢悦然唯一股東名義作出相關股東決定，由武漢悦然作出相關停職調查通知，多次現場溝通、發函要求武漢悦然原管理層團隊及其他武漢悦然高級管理人員配合向公司委派的武漢悦然董事長、法定代表人林毅超先生及其指定人員移交其持有的武漢悦然印章、營業執照、財務資料、合同文件及其他公司重要資料。
武漢悦然原管理層團隊收到通知後，除移交部分財務資料外，拒絕移交餘下的武漢悦然財務專用章、合同專用章、銀行預留印鑑、Ukey及密碼、部分子公司營業執照、業務合同、人事檔案、服務器權限等重要公司資料。並且，自2021年4月23日起，武漢悦然原管理層團隊採取封閉辦公場所、停止經營活動等方式對抗資料交接及調查。
有鑑於此，武漢悦然及下屬公司武漢樂玩互動網絡科技有限公司、武漢樂享無限網絡科技有限公司和武漢威震天網絡科技有限公司、武漢樂點互娛網絡科技有限公司已分別作出內部決議免去顏慶華、劉金柱、趙威、陳國興、雷述超等人在武漢悦然擔任的所有董事、監事及高管職務，以及在前述武漢悦然下屬公司擔任的法定代表人、執行董事、總經理、監事等相關職務。
針對上述人事任免事項，武漢悦然及其下屬公司亦多次發函，進一步要求武漢悦然原管理層團隊配合武漢悦然及其前述下屬公司完成職務及資料交接、提供財務資料、恢復經營秩序等事項，但截至目前，前述人員拒不執行武漢悦然及其下屬公司的決議事項，對武漢悦然及其下屬公司發函要求內容仍拒絕配合。
因武漢悦然原管理層團隊拒不交接武漢悦然部分下屬公司公章、營業執照，武漢悦然部分下屬公司人員任免的工商變更手續至今無法完成辦理，且公司對於武漢悦然原管理層團隊掌握公司資料的存放位置、完好程度均不明確，截至目前武漢悦然辦公場所亦無法正常進入，導致除武漢悦然心動網絡科技有限公司廣州第一分公司以外，武漢悦然、樂享無限、武漢威震天、樂玩互動、樂點互娛、香港威震天網絡科技有限公司、香港悦然心動網絡科技有限公司、香港一方網絡科技有限公司、香港歡樂無限網絡科技有限公司、山南快樂無限網絡科技有限公司、霍爾果斯歡樂無限網絡科技有限公司、香港樂享無限網絡科技有限公司的經營管理均基本處於失控狀態。
公司表示，公司委派至武漢悦然的相關人員已代表武漢悦然及其下屬公司與武漢悦然辦公場所所屬物業管理公司溝通並向轄區公安派出所溝通報備，正在爭取各方配合完成武漢悦然辦公場所的接管。若陳國興、顏慶華、趙威、劉金柱、雷述超仍拒不執行武漢悦然股東決定、董事會決議、相關公司決定，以及影響武漢悦然正常經營等行為，公司將考慮依法對其提起相關訴訟。
