*ST科陸(002121.SZ)：公司控股股東將由饒陸華變更為深圳市資本運營集團 5月17日復牌
格隆匯5月14日丨*ST科陸(002121.SZ)公佈，公司於近日收到控股股東饒陸華擬放棄控制權的通知，公司據此正在籌劃董事會、監事會提前換屆選舉，該事項可能導致公司的控制權變更。鑑於該事項尚存在重大不確定性，根據有關規定，為維護廣大投資者利益，保證公平信息披露，避免公司股價異常波動，經公司向深圳證券交易所申請，公司股票自2021年5月10日開市起停牌。
停牌期間，公司第七屆董事會第二十九次(臨時)會議、第七屆監事會第十五次(臨時)會議分別審議通過了《關於董事會提前換屆選舉暨提名第八屆董事會非獨立董事候選人的議案》、《關於董事會提前換屆選舉暨提名第八屆董事會獨立董事候選人的議案》、《關於監事會提前換屆選舉暨提名第八屆監事會非職工代表監事候選人的議案》。
截至目前，深圳市資本運營集團有限公司持有公司341,685,291股股份，佔公司股份總數1,408,349,147股的24.26%，為公司第一大股東。公司第二大股東饒陸華截至目前持有公司341,685,208股股份，佔公司股份總數1,408,349,147股的24.26%。饒陸華已向公司提交了《放棄表決權的承諾函》，饒陸華決定放棄行使其所持有的公司股份對應的表決權。
據《上市公司收購管理辦法(2020年修訂)》第八十四條之規定“有下列情形之一的，為擁有上市公司控制權：(一)投資者為上市公司持股50%以上的控股股東；(二)投資者可以實際支配上市公司股份表決權超過30%；(三)投資者通過實際支配上市公司股份表決權能夠決定公司董事會半數以上成員選任；(四)投資者依其可實際支配的上市公司股份表決權足以對公司股東大會的決議產生重大影響；(五)中國證監會認定的其他情形。”
公司第八屆董事會將由9名董事組成，其中5名非獨立董事候選人由深圳市資本運營集團有限公司推薦，1名非獨立董事候選人由饒陸華先生推薦，3名獨立董事候選人由第七屆董事會提名。如本次《關於董事會提前換屆選舉暨提名第八屆董事會非獨立董事候選人的議案》、《關於董事會提前換屆選舉暨提名第八屆董事會獨立董事候選人的議案》經股東大會審議通過，深圳市資本運營集團有限公司將佔公司董事會半數以上席位，深圳市資本運營集團有限公司通過實際支配上市公司股份表決權能夠決定公司董事會半數以上成員選任，依其可實際支配的上市公司股份表決權足以對公司股東大會的決議產生重大影響。
綜上所述，在此次第八屆董事會選舉完成後，公司控股股東將由饒陸華變更為深圳市資本運營集團有限公司。
經公司向深圳證券交易所申請，公司股票自2021年5月17日(星期一)開市起復牌。
