海南椰島(600238.SH)擬出資2.4億元設合資貴州省仁懷市椰島糊塗酒業 打造醬香型白酒品牌
格隆匯4月27日丨海南椰島(600238.SH)發佈公吿，公司為完善在白酒產業上的戰略佈局，搶佔核心區域優質醬酒資源，擴大市場銷售規模，進一步提升公司綜合競爭實力，公司全資子公司海南椰島酒業發展有限公司擬與貴州省仁懷市茅台鎮糊塗酒業（集團）有限公司共同出資設立貴州省仁懷市椰島糊塗酒業有限公司（以下簡稱“合資公司”），註冊資本為3億元，其中椰島酒業以現金資金出資2.4億元，佔註冊資本的80%，椰島酒業本次對外投資資金來源為自有及自籌資金。糊塗酒業以經評估的價值0.6億元的大麴坤沙醬酒實物方式出資，佔合資公司註冊資本的20%。註冊資本應在合資公司註冊完成後60個工作日內，根據合資公司實際資金需求情況到位。本次對外投資事項已經公司2021年4月27日召開的第七屆董事會第六十一次會議審議通過。
糊塗酒業成立於1998年6月，是一家集白酒生產、包裝、銷售為一體的企業。糊塗酒業佔地面積1200餘畝，窖池680個，曲倉350間，全自動化包裝生產線8條，持有多個酒類品牌商標，擁有上千名員工。糊塗酒業位於醬酒核心生產區域，擁有上萬噸的優質醬酒基酒存儲量，現每年近6000噸的生產能力，未來擴產後預計將達到每年數萬噸的產能，存儲量和生產能力在醬酒核心產區名列前茅。2018-2020年，糊塗酒業營業收入為34,688.77萬元、34,038.32萬元、28,851.17萬元。
合資公司運營計劃：合資公司將充分藉助公司在酒類行業管理經驗、客户資源、品牌優勢，結合糊塗酒業在醬香型白酒領域的優質基酒、生產基地、技術優勢等，打造醬香型白酒品牌，進一步推進公司在主營業務擴展上的戰略目標。
公司表示，本次交易是公司根據市場需求而做出的戰略部署投資，公司整合上游生產企業，以輕資產方式解決酒體品質穩定、基酒儲備充足和醬酒核心廠區認知三大關鍵問題。與糊塗酒業共同設立合資公司有利於充分利用合作各方優勢資源，實現優勢互補，進一步拓展主營業務規模，符合公司利益與發展目標，不存在損害公司及廣大股東利益的情形。
