洛陽鉬業(603993.SH)：與寧德時代間接控股公司簽訂戰略合作協議
格隆匯 4 月 11日丨洛陽鉬業(603993.SH)公佈，公司全資子公司CMOC Limited (“洛鉬控股”)與寧德時代間接控股公司寧波邦普時代新能源有限公司(“邦普時代”)簽訂的《戰略合作協議》。雙方就項目戰略入股、產品包銷、擴大合作和建立新能源金屬全方位戰略伙伴關係方面深化合作。
邦普時代通過全資子公司香港邦普時代新能源有限公司(Hongkong Brunp and CATL Co., Limited，“時代新能源”)以總對價1.375億美元獲得洛鉬控股全資子公司香港KFM控股有限公司(KFM Holding Limited，“KFM控股”)25%的股權。
交易完成後，洛鉬控股與邦普時代在KFM控股的持股比例分別為75%和25%，KFM控股持有位於剛果(金)的Kisanfu銅鈷礦項目95%的權益。
雙方將根據在KFM控股中的持股按比例承擔項目資本支出，共同投資開發Kisanfu項目，將其建設成為世界級的大型銅鈷生產商。
洛鉬控股和邦普時代將按持股比例包銷Kisanfu項目未來銅鈷產品。雙方在同等條件下優先採用洛鉬控股及其附屬公司的物流和銷售服務。雙方將共同探討更多創新形式的產品包銷合作模式，為邦普時代提供更多長期穩定的銅鈷原料供應。
雙方確認並同意，將促使彼此附屬公司在印度尼西亞等國家的鎳礦資源開發、鎳金屬冶煉加工等方面加強深入合作。雙方確認並同意，在國內外鋰資源的收購兼併、投資開發等方面加強深入合作。
雙方在新能源金屬資源領域建立全方面的戰略合作伙伴關系，在鋰、鈷、鎳、銅等新能源金屬資源的投資開發等方面發揮各自優勢，全面合作。
雙方將共同關注產業發展趨勢，將合作範圍擴展至其他新能源產業所需要的金屬資源品種。
合作協議的簽署符合公司的戰略發展需要，使公司與資源終端應用客户更緊密的結合，有利於促進行業可持續健康發展，有利於鞏固公司在電池金屬和電動汽車原材料供應領域的領先地位。通過籤署該合作協議，公司不僅成為全球最大的動力電池生產商鈷產品長期供應商，還加強了公司與世界級電池原料採購客户的長期戰略協同。公司與合作方強強聯合，將助力KFM項目未來的開發建設為所有利益相關方以及新能源產業發展做出貢獻。
