HKE HOLDINGS(01726.HK)獲連浩民折讓27.69%提收購要約 12日復牌
格隆匯4月9日丨HKE HOLDINGS(01726.HK)公佈，於2021年4月6日，賣方鷹毅有限公司、擔保人及要約人Flourish Nation Enterprises Limited訂立股份購買協議，要約人有條件同意購買待售股份（即6億股股份），相當於公司已發行股本總額75%，總現金代價為1.13億港元（即每股待售股份0.188港元）。
於本聯合公吿日期及於完成前，要約人及其一致行動人士並無對任何股份或其他公司有關證券具有擁有權、控制權或指導權。緊隨完成後，要約人及其一致行動人士將擁有合共6億股股份，佔公司已發行股本總額75%。
因此，要約人於完成後將須根據收購守則規則26.1就要約人及╱或其一致行動人士尚未擁有及╱或同意將予收購的所有已發行股份作出要約。每股要約股份現金0.188港元，較4月1日收市價每股0.26港元折讓約27.69%。
Flourish Nation Enterprises Limited為於英屬處女羣島註冊成立的有限公司，主要從事投資控股。於本聯合公吿日期，除訂立股份購買協議外，要約人概無從事任何其他業務活動。於本聯合公吿日期，連浩民先生，28歲，為要約人的唯一最終實益擁有人及唯一董事。連先生於投資及公司管理方面擁有豐富經驗。彼目前為永卓御富國際有限公司的董事長，永卓御富國際有限公司為於香港註冊成立的有限公司，其主要業務為從事海外房地產投資。其業務亦包括提供建築設計及規格、建築工程的執行等有關的諮詢服務，其與集團的核心業務類似。除上述職務外，彼亦為中華全國青年聯合會委員、東華三院2021/2022總理、香港菁英會執委會委員暨執委會副祕書長、香港政協青年聯會執委會副主席、江蘇省青年聯合會委員、南天青年協進會榮譽董事、九龍社團聯會榮譽會長、青少年勉勵基金祕書長及香港大學基金名譽董事。
要約人認為，集團現有業務於醫療及保健行業有完善的網絡，聲譽卓着，為具吸引力的投資。於要約截止後，要約人擬繼續從事集團的現有主要業務。要約人有意維持股份於聯交所的上市地位。
此外，公司股票將於2021年4月12日復牌。
