健倍苗苗(02161.HK)擬與滿貫集團成立合資 為自主品牌產品提供分銷、策略營銷及銷售支持
格隆匯 4 月 8日丨健倍苗苗(02161.HK)宣佈，截至公吿日期，集團與滿貫集團已訂立多份協議，旨在憑藉兩間集團各自的優勢建立更緊密的聯盟關係，以實行戰略合作。
集團主要從事於大中華、東南亞及其他國家推廣及分銷品牌醫療保健品。其亦經營一座用於生產西藥的PIC/SGMP認證製造設施及兩座主要用於生產中成藥產品的GMP認證製造設施。集團為擁有營銷專業知識及具備製藥背景的獨特市場參與者，其將產品效用及質量置於首位以滿足消費者對醫療保健品的需求。作為香港的知名醫療保健品品牌運營商，集團合共擁有涵蓋非處方藥及中成藥的20個主要品牌，包括保濟丸、何濟公止痛退熱散、唐太宗活絡油、飛鷹活絡油、十靈丹、十靈油及傷風克等家喻户曉的家用品牌。
滿貫集團主要從事分銷中成藥、保健、護膚、個人護理及其他醫療保健產品。多年來，滿貫集團開發了成熟有效的分銷渠道，並受益於品牌管理方面的豐富經驗，一直提供全面且深受客户愛戴的產品組合。此外，滿貫集團一直積極透過澳門的零售店進行線下直銷及透過跨境電子商務平台進行線上銷售。
集團及滿貫集團在中成藥、中醫藥醫療保健及健康補充品市場具有專業知識及資源互補的巨大潛力，因此，雙方擬以下文所述的合作方式就業務發展建立戰略合作。
為利用集團在產品開發及製造方面的強大實力及滿貫集團的市場專業知識，雙方同意為經由集團開發及製造的自主品牌產品達成戰略合作，以迎合市場趨勢及滿足消費者需求，雙方據此新設合資公司，以為自主品牌產品提供分銷、策略營銷及銷售支持。
就此而言，集團及滿貫集團於2021年4月8日訂立合資協議，以成立合資公司，其由集團及滿貫集團分別擁有50%及50%權益，並將由兩間集團共同控制。合資公司並非合資夥伴的附屬公司，集團將採用權益會計法將合資公司的財務報表入賬。合資公司為一間投資控股公司，初始設立兩個不同業務單元，即營銷部及持有自主品牌產品知識產權的公司。
根據合資協議(其中包括)：(i)雙方將於簽署合資協議後在切實可行的情況下儘快註冊成立知識產權公司(由本集團及合資公司分別擁有70%及30%權益)，成立宗旨為持有自主品牌產品的全部知識產權；及(ii)待註冊成立知識產權公司後，集團應將自主品牌產品的獨家分銷權授予滿貫集團進行分銷，而合資集團則負責自主品牌產品的營銷及推廣。
自主品牌產品預期將於二零二一年第二或第三季度推出。
