華昱高速(01823.HK)擬收購深圳市華昱高速公路投資60%股權 代價1.27億元
格隆匯4月8日丨華昱高速(01823.HK)發佈公吿，2021年4月7日，買方(好兆有限公司，為公司全資附屬公司)與賣方(由董事會主席、執行董事兼控股股東陳陽南先生全資擁有的公司)、目標公司(即深圳市華昱高速公路投資有限公司)及陳先生訂立股權轉讓協議，據此，買方有條件同意收購目標公司60%股權，代價為人民幣1.272億元。
目標公司已向賣方提供賣方貸款。於股權轉讓協議日期，賣方應付及結欠目標公司的賣方貸款約人民幣2970萬元。賣方將以其將可享有的股息(即約人民幣1480萬元)結算部分賣方貸款。在有關結算後，賣方貸款的未償還金額預期約為人民幣1490萬元。
目標公司為一間於中國註冊成立的公司，於股權轉讓協議日期由賣方及深圳高速公路(00548.HK/600548.SH)分別擁有60%及40%的權益。目標公司繳足股本總額為人民幣1.5億元，其中賣方出資人民幣9000萬元。根據特許權協議及主管部門發出的批文，其具有(其中包括)於2027年2月8日前運營目標高速公路(即清平高速公路一期工程(S209))的專有權利。
目標高速公路是六車道高速公路(每個方向三車道)，收費距離為5.28公里。目標高速公路連接深圳清水河檢查站及水官高速公路上的布隆立交橋。水官高速公路為連接深圳中心商務區、龍崗區及坪山新區的主要高速公路。通行費於收費站(通常使用電子支付系統)及透過電子收費系統(通過連接車輛電子設備)收取。
公吿表示，目標公司是一間基礎設施項目公司，主要從事建設、營運及管理目標高速公路的業務，該高速公路自2002年以來一直營運併產生收入。預期收購事項將使公司能夠從中獲得直接收益及現金流量貢獻。此外，營運及管理高速公路乃集團的核心業務之一。董事認為，收購事項符合公司透過收購或利用新機會擴展核心業務的業務策略。
