炬華科技(300360.SZ)：終止使用自有資金向控股股東購買房產
格隆匯 4 月 6日丨炬華科技(300360.SZ)公佈，公司於2021年4月6日召開第四屆董事會第十八次會議和第四屆監事會第九次會議，分別審議通過了《關於終止購買關聯方房產的議案》，同意公司終止使用自有資金向公司控股股東杭州炬華集團有限公司(“炬華集團”)購買房產。該議案尚需提交股東大會審議。
之前公吿披露，公司於2019年10月25日召開了第三屆董事會第二十四次會議、第三屆監事會第十九次會議，審議通過了《關於公司購買關聯方房產的議案》，同意公司使用自有資金向公司控股股東杭州炬華集團有限公司(“炬華集團”)購買位於杭州市餘杭區倉前街道龍舟路6號炬華集團智慧產業園(“智慧產業園”)2幢1-9層、3幢1-9層及4幢102室(即3幢4幢連廊)房產，該房產建築面積合計16266.93平方米，對應土地使用權面積合計1978.10平方米，同時，配套170個地下車位隨上述房產一併轉讓。雙方協商，以經具有證券期貨評估業務資格的坤元資產評估有限公司對該房產的評估價值為基準，確定房產轉讓價格為人民幣3.291億元。
公司位於未來科技城永樂產業園的募集資金投資項目有序推進，預計2021年12月完工並投入使用。
公司於2019年11月22日召開了第三屆董事會第二十六次會議，審議通過了《關於全資子公司擬參與競買土地的議案》，同意公司全資子公司天台炬源物聯網技術有限公司(“炬源物聯”)參與競買位於浙江天台縣西工業區相關地塊的使用權，炬源物聯於2019年12月20日競得天台裝備製造高新技術產業園TSF08-0807-1地塊。2020年1月20日召開第四屆第二次董事會，同意新增全資子公司炬源物聯作為募投項目“能源需求側物聯網信息平台生產建設項目”的實施主體，新增浙江天台縣西工業區地塊作為“能源需求側物聯網信息平台生產建設項目”的實施地點。
公司於2021年1月27日召開的第四屆董事會第十四次會議，審議通過了《關於全資子公司投資建設智能電氣及能源物聯網研發檢測中心項目的議案》，公司全資子公司上海納宇電氣有限公司(“納宇電氣”)與上海市莘莊工業區經濟技術發展有限公司簽署了《投資協議書》，納宇電氣擬將工商註冊及税務登記地址搬遷至上海市莘莊工業區內，並使用自有資金1.3億元人民幣，用於建設智能電氣及能源物聯網研發檢測中心項目。
上述項目的順利推進緩解了公司當前對研發、管理場地的迫切需求，同時為了減少公司與炬華集團之間的關聯交易，經公司審慎研究，並與控股股東炬華集團友好協商，雙方同意簽署《關於<房產轉讓協議>的終止協議》，一致同意不再履行房產轉讓事宜，雙方不存在爭議及糾紛，亦不存在因終止該等關聯交易而負有違約責任的情形。此次關聯交易事項終止。
