药明康德(603259.SH)：认缴120 Capital的1588.0899万美元份额
格隆汇 4 月 2日丨药明康德(603259.SH)公布，北京时间2021年4月2日，公司全资子企业WuXi PharmaTech Healthcare Fund I L.P.(“WuXi Fund I”)与120 Capital GP, L.P.(“普通合伙人”)签署Subscription Agreement(“认购协议”)，约定由WuXi Fund I认缴120 Capital, L.P. (“投资基金”或“120 Capital”)的1588.0899万美元份额，约占已募集投资基金份额的10%。
截至公告日，WuXi Fund I尚未支付投资款，后续WuXi Fund I将以自有资金根据合伙协议的要求履行投资款的支付义务。
基金规模：投资基金预计募集总额为5亿美元，WuXi Fund I此次认缴1588.0899万美元后，投资基金已募集158,808,989美元资金。
投资基金为一家依据美国特拉华州法律成立的有限合伙企业，主要专注于投资位于中国(包含中国大陆、中国香港特别行政区、中国台湾)、北美和欧洲地区的医疗健康和生命科学企业。
120 Capital的投资将主要针对中国(包含中国大陆、中国香港特别行政区、中国台湾)、北美和欧洲地区的医疗健康和生命科学企业。投资基金的管理团队拥有在中美两地丰富的创业、投资经验和广泛的行业资源，能够发掘该领域高质量的创新成果，并通过投资帮助此类企业获得资金以加速其创新成果转化。公司以较低比例投资120 Capital作为其有限合伙人，一方面有望使公司在投资风险可控的前提下，获得风险投资相关的财务收益；另一方面，120 Capital投资所针对的早期生物科技企业是本公司重要的潜在客户群体，有助于本公司进一步拓展中国及海外市场，扩展本公司的主营业务。公司在保证日常经营发展所需资金的前提下，以自有资金参与认缴投资基金份额，此次投资不会对公司财务状况和经营成果产生重大影响。
