永和智控(002795.SZ)：聚焦大健康醫療產業 擬出售浙江永和智控科技100%股權
格隆匯 4 月 1日丨永和智控(002795.SZ)公佈，為聚焦大健康醫療產業，發展以腫瘤精準放射治療為服務核心的連鎖型腫瘤專科醫院經營模式，調整公司產業結構，推動公司產業轉型，公司於2021年3月31日與制霸科技簽署了《股權轉讓意向協議》。公司擬向制霸科技出售浙江永和智控科技有限公司100%股權，即如此次交易完成後，制霸科技將同步取得浙江永和智控科技有限公司直接及間接持有100%股權的浙江安弘水暖器材有限公司、福田國際貿易有限公司(Forland International Trading Co.,Ltd.)、YORHE RUS有限責任公司(永和俄羅斯有限責任公司)中的全部權益。此次簽署的《股權轉讓意向協議》為意向性協議，系雙方意向性表達，具體的交易方案及交易條款以各方簽署的正式協議為準。
雙方確認，此次交易標的資產以2020年12月31日為評估基準日。此次交易價格原則上不低於4.3億元人民幣，由在中國證監會完成證券服務機構備案的評估機構進行評估，雙方根據前述評估機構出具的評估報吿確定的評估價值協商確定最終交易價格。
鑑於公司持股5%以上股東應雪青及陳先雲分別持有制霸科技85%及15%股權，因此本次交易方制霸科技系本公司關聯方，此次交易構成關聯交易。經初步測算，此次交易構成《上市公司重大資產重組管理辦法》規定的重大資產重組。公司將按照中國證監會及深圳證券交易所的有關規定，儘快聘請獨立財務顧問、法律顧問、審計機構和評估機構等中介機構開展相關工作，並按照相關法律、法規及《公司章程》的規定履行必要的決策和審批程序。
公司現有閥門管件類產品95%以上出口海外，主要銷往歐美髮達地區。近年來，受制於海外經濟體增長乏力，歐美對華貿易政策複雜多變，貿易保護主義和單邊主義愈加盛行，全球新冠疫情持續肆掠等因素，對公司傳統閥門管件產業造成了實質性影響，閥門管件業務進入發展瓶頸期，自2018年起至今已連續三年出現盈利下滑。
2019年公司實施了產業轉型，已明確“以大健康為目標”的戰略發展思路。截止目前，公司已收購完成達州醫科腫瘤醫院、昆明醫科腫瘤醫院，參股西安醫科腫瘤醫院，投資設立重慶華普腫瘤醫院有限公司。公司計劃集中資源重點發展經濟效益好、前景廣闊的醫療服務業務。該協議簽署，將更有助於公司調整產業結構，推動公司產業轉型，全面聚焦大健康醫療產業，發展以腫瘤精準放射治療為服務核心的連鎖型專科醫院經營模式。
