太陽國際(08029.HK)：擬以約1億港元購買加密貨幣開採設備 用作加密貨幣╱比特幣採礦用途
格隆匯3月27日丨太陽國際(08029.HK)公佈，2021年3月26日，公司間接全資附屬公司Extra Blossom Holdings Limited作為買方，與賣方A即Moon Skyline SPC(為及代表SP1-8029行事)訂立買賣協議，內容有關建議按代價5000.0345萬港元買賣設備A，代價將通過促使公司根據一般授權配發及發行5524.9萬股代價股份A結付，發行價A為每股0.905港元。
同日，Extra Blossom Holdings Limited與賣方B即Mindfulness Venture Fund I,L.P.訂立買賣協議，內容有關建議按代價4999.9999萬港元買賣設備B，代價將通過促使公司根據特別授權配發及發行155,762,239股代價股份B結付，發行價B為0.321港元。
值得注意的是，設備A指加密貨幣開採設備，包括(i)250台Bitmain Antminer T19；(ii)535台MicroBT Whatsminer M32；(iii)110台MicroBT Whatsminer M31S；(iv)80台MicroBT Whatsminer M21S；及(v)107台MicroBT Whatsminer M20
設備B指加密貨幣開採設備，包括(i)381台MicroBT Whatsminer M32；及(ii)619台MicroBT Whatsminer M31S。
視乎設備A及設備B的交付情況，集團擬利用設備A及設備B作加密貨幣╱比特幣採礦用途，從而使集團開拓加密貨幣╱區塊鏈業務及使集團的業務營運多元發展。考慮到(i)比特幣價格長期持續上漲；(ii)越來越多的機構投資者開始投資比特幣；(iii)越來越多人士瞭解加密貨幣，更願意投資加密貨幣或加密貨幣交易所交易基金等相關產品；(iv)隨着各國政府為刺激經濟而採取的量化寬鬆措施導致傳統貨幣貶值，鑑於比特幣的供應量僅有21百萬枚，有跡象表明比特幣正被視為如黃金一樣的資產；及(v)比特幣的實際用途日益增加，加密貨幣╱區塊鏈業務的機會將與日俱增，董事認為買賣協議的條款及其項下擬進行的交易均屬公平合理，並符合公司及股東的整體利益。
