雅生活服務(03319.HK)擬斥11.78億元收購5家環衞公司若干股權
格隆匯3月22日丨雅生活服務(03319.HK)宣佈，近日，集團已簽訂協議，分別收購北京慧豐的51%股權、陝西明堂的60%股權及大連明日環衞業務的51%股權，總對價為2.805億元人民幣(單位下同)、1.44億元及約3億元。北京慧豐、陝西明堂及大連明日環衞業務2021年度的扣非歸母淨利潤預估值合計約為1.34億元。按照各自2021年度扣非歸母淨利潤計算的收購市盈率約介於9.6倍至10.5倍。
集團已簽訂一份不具法律約束力的框架協議，據此，擬收購安徽宇潤的51%股權，總對價為1.53億元，最終對價將待相關正式協議的訂約方釐定。安徽宇潤2021年度的扣非歸母淨利潤預估值為3000萬元，按此計算的收購市盈率約相當於10倍。
集團亦通過股權收購及認購增發股權方式收購中航環衞合共30%股權，總對價為3億元。中航環衞2021年度扣非歸母淨利潤預估值為1.04億元，按此計算的收購市盈率約相當於9.6倍。
公吿顯示，京慧豐成立於2004年，2020年位列全國環衞服務百強企業第28位(按年化合同金額)，北京環衞工程優秀企業排名第一，是華北地區環衞龍頭企業。截至2020年12月31日止，在管項目41個，年化合同金額約為4.8億元，總合同金額約為15.9億元。
陝西明堂成立於2014年，是陝西省環衞龍頭企業,位列全國環衞服務百強企業，為中國城市環境衞生協會常務理事單位。截至2020年12月31日止，在管項目18個，年化合同金額約為1.95億元，總合同金額約為3.26億元，2018-2020年項目平均續約率超過92%，2019年回款率高達98%。
大連明日成立於2003年。截至2020年12月31日止，大連明日已簽約項目共計21個，合同總額約為23.48億元，年化合同額約為4.34億元，合同平均年限長達5.1年，2019年收繳率為99%。大連明日具有強勁的市場拓展能力，2019年及2020年全年市政環衞項目拓展新增年化合同金額分別約為2.5億元及1.47億元，目前管理鄭州、大連等多個一二線城市的環衞標杆性項目，2020年項目續約率為100%。
安徽宇潤成立於2009年，位列中國清潔服務百強品牌。2019年企業轉型開始大力推進市場拓展，2020年新增年化合同金額達約1.1億元。截至2020年12月31日止，安徽宇潤在管項目25個，年化合同金額約為2.4億元，總合同金額約為6.5億元，2019年收繳率高達95%。
中航環衞成立於2011年，是中國生態環境綜合服務領航者，位列2020年中國環衞十強企業(按總合同金額)，具有中國清潔清洗行業國家一級資質，擁有雄厚的綜合實力和卓越的服務能力。
公司強調，集團將抓住城市服務市場化及行業智慧升級機遇，提升於城市綜合管理領域的影響力及市場佔有率。集團將根據既定戰略，進一步擴張城市服務業務規模，提升市場份額，完善業態佈局及提升整體市場影響力。
