雲南能投(002053.SZ)：董事長謝一華等辭職、聘楊建軍為總經理
格隆匯 3 月 21日丨雲南能投(002053.SZ)公佈，公司董事會於2021年3月18日收到公司董事長謝一華、董事、總經理周立新、董事舒藝欣的書面辭職報吿，其辭職報吿自送達董事會之日起生效。
根據公司控股股東雲南省能源投資集團有限公司的統一安排，因另有工作需要，謝一華請辭公司第六屆董事會董事暨董事長以及董事會戰略與發展委員會主任委員、提名委員會委員職務。謝一華辭去上述職務後，不在公司擔任任何職務。
因工作變動原因，周立新請辭公司第六屆董事會董事、總經理職務以及董事會戰略與發展委員會委員職務。周立新辭去上述職務後，不在公司擔任任何職務。
因工作變動原因，舒藝欣請辭公司第六屆董事會董事以及董事會薪酬與考核委員會委員職務。舒藝欣辭去上述職務後，不在公司擔任任何職務。
為保證董事會正常運作，根據《公司法》《公司章程》及相關法律法規的規定，公司董事會於2021年3月19日召開2021年第一次臨時會議，審議通過了《關於提名公司第六屆董事會非獨立董事候選人的議案》。經公司控股股東雲南省能源投資集團有限公司的提名，公司董事會提名委員會審核，公司董事會同意向公司股東大會提名李慶華為公司第六屆董事會非獨立董事候選人；經公司董事會三分之二以上董事提名、董事會提名委員會審核，公司董事會同意向公司股東大會提名周滿富、楊建軍為公司第六屆董事會非獨立董事候選人。
2021年3月19日，公司董事會2021年第一次臨時會議審議通過了《關於推舉公司董事、財務總監鄧平代為履行董事長職責的議案》。鑑於謝一華已辭去公司董事長職務，根據《公司章程》規定及工作需要，同意由公司董事、財務總監鄧平暫代履行公司董事長、法定代表人職責，期限自本次董事會決議通過之日起至選舉產生新任董事長之日止。公司將按照法定程序，儘快完成新任董事長的選舉工作。
為保證公司正常運作，根據《公司法》《公司章程》及相關法律法規的規定，2021年3月19日，公司董事會2021年第一次臨時會議審議通過了《關於提請聘任楊建軍先生為公司總經理的議案》，同意聘任楊建軍為公司總經理，任期自本次董事會通過之日起至公司第六屆董事會屆滿時止。
