中興通訊(000063.SZ)：擬向23家境內外金融機構申請合計1350億元、44.8億美元及1.8億歐元綜合授信額度
格隆匯 3 月 16日丨中興通訊(000063.SZ)公佈，公司第八屆董事會第三十三次會議決議，逐項審議並通過《二○二一年度擬申請綜合授信額度的議案》，決議內容如下：
同意公司向中國銀行股份有限公司、中國工商銀行股份有限公司深圳市分行、中國建設銀行股份有限公司深圳市分行、中國農業銀行股份有限公司深圳市分行、交通銀行股份有限公司深圳分行、招商銀行股份有限公司深圳分行、中國進出口銀行深圳分行、中國民生銀行股份有限公司深圳分行、光大銀行股份有限公司深圳分行、廣發銀行股份有限公司深圳分行、平安銀行股份有限公司深圳分行、興業銀行股份有限公司深圳分行、珠海華潤銀行股份有限公司深圳分行、中國郵政儲蓄銀行股份有限公司深圳分行、華夏銀行股份有限公司深圳分行、廣東華興銀行股份有限公司深圳分行、開泰銀行(中國)有限公司深圳分行、中國出口信用保險公司、國家開發銀行深圳市分行、法國興業銀行(中國)有限公司、東方匯理銀行(中國)有限公司上海分行、星展銀行(中國)有限公司深圳分行以及法國巴黎銀行(中國)有限公司等二十三家境內外金融機構申請合計1350億元人民幣、44.80億美元及1.80億歐元的綜合授信額度。該批綜合授信額度尚須各授信金融機構的批准，公司在辦理該批綜合授信額度下的具體業務時需要根據公司現有內部規定及相關法律、法規和上市規則的要求履行必要的審批程序。
注：綜合授信額度是授信金融機構根據對公司的評估情況而給予公司在其操作業務的最高限額。公司在綜合授信額度項下根據生產經營的實際需求操作各項業務品種，應履行公司內部和授信金融機構要求的相應審批程序。同時綜合授信額度為公司擬向授信金融機構申請的金額，最終確定的金額以授信金融機構批覆金額為準。
前述除擬向國家開發銀行深圳市分行申請綜合授信額度以外的每項決議自2021年3月16日起至(1)公司與該授信金融機構的下一筆新的綜合授信額度得到公司內部有權機構批覆，或(2)2022年3月31日二者較早之日止有效。除非法律法規、公司章程另有要求或者有業務需求，董事會將不再出具針對該授信金融機構綜合授信額度內不超過該額度金額的單筆業務申請的董事會決議。在該授信金融機構綜合授信額度有效期內，且在法律法規和公司章程允許的範圍內，董事會同時授權公司法定代表人或其授權的有權簽字人簽署與綜合授信額度相關或與綜合授信額度項下業務相關的法律合同及文件。
前述公司擬向國家開發銀行深圳市分行申請的40億美元的綜合授信額度的交易尚需提交公司股東大會審議批准，董事會同意提請股東大會授權董事會可以在不超過前述綜合授信額度以及股東大會審議通過的期限的範圍內依據公司需要或與授信金融機構的協商結果調整授信額度的具體內容和具體授信期限，同時授權董事會以及公司法定代表人或其授權的有權簽字人與授信金融機構協商並簽署與前述綜合授信額度相關或與綜合授信額度項下業務相關的法律合同及文件。
公司此次擬向國家開發銀行深圳市分行以外單個授信金融機構申請綜合授信額度均未超過公司最近一期經審計淨資產的50%，無需提交股東大會審議。
