光一科技(300356.SZ)：控股股東及實控人所持部分股份司法拍賣完成過户 涉及1528.58萬股
格隆匯 3 月 15日丨光一科技(300356.SZ)公佈，近日，公司通過中國證券登記結算有限責任公司深圳分公司查詢及控股股東的函吿獲悉，截至公吿披露日，以上被司法拍賣的股份已完成過户手續，此次司法拍賣股份數量1528.58萬股，佔公司總股本比例3.74%。
此次股權過户前，江蘇光一投資管理有限責任公司(“光一投資”)持有公司6747.6萬股，佔公司總股本的16.54%，實際控制人龍昌明持有公司1834.5萬股，佔公司總股本的4.5%；此次股權過户完成後，光一投資持有公司5791.02萬股，佔公司總股本的14.2%，龍昌明持有公司1262.5萬股，佔公司總股本的3.1%，光一投資及龍昌明合計持有7053.52萬股，佔公司總股本的17.30%。
截至公吿披露日，公司第二大股東湖北乾瀚投資有限公司及其一致行動人持有公司股份4650.94萬股，佔公司總股本的11.40%。本次過户不會導致公司控制權發生變更。
截至公吿披露日，光一投資持有的3127.6萬股處於質押狀態，佔其持股比例的54.01%；龍昌明持有的1262.5萬股處於質押狀態，佔其持股比例的100%，光一投資及龍昌明合計質押比例為62.24%。以上被質押的股份目前均處於凍結狀態，存在司法拍賣的風險，若後期股份被繼續處置，將會存在控制權變更的風險，請廣大投資者注意投資風險。
截至2020年12月31日，光一投資持有6747.6萬股，佔公司總股本的16.54%，龍昌明持有1834.5萬股，佔公司總股本的4.50%。根據龍昌明在招股説明書中做出的承諾：本人每年可轉讓的股份不超過本人直接或間接持股總數的25%，目前龍昌明司法拍賣股份數量已超過其做出的減持承諾額度，超出股份數量為113.37萬股，佔其持股比例的8.98%，佔總股本的0.28%，違反了相關法律法規。
