國投集團控股(01386.HK)擬1.05億港元收購Scape Bliss 51%股份
格隆匯 3 月 9日丨國投集團控股(01386.HK)公吿，於2021年3月9日，公司為買方、賣方Ease Beacon Limited及擔保人成正偉訂立該協議，據此，買方有條件地同意收購及賣方有條件地同意出售目標公司Scape Bliss Limited 51%股份，代價為1.05億港元，將由買方於完成交易後向賣方按發行價每股代價股份0.51港元發行及配發204,882,352股代價股份結構。
完成交易後，集團將於目標公司的51%已發行股擁有權益，而目標公司將成為公司直接非全資附屬公司，據此，目標集團財務資料將綜合計入公司賬目。
目標集團通過明大智能業務，主要在中國使用先進生產設備及技術，提供定製自動化生產解決方案，主要應用於改性塑膠、再生塑膠和可降解塑膠等塑膠材料的生產過程。為提高客户的生產效率及降低生產成，明大智能銷售自動化生產線的智慧控制系統及機器，涵蓋了各種生產過程，例如自動原料進料、自動傳送帶、自動疊包和實時監控操作。明大智能將機器的生產外判給中國第三方製造商。
有別於其他服務供應商只為國內客户提供標準化設備，明大智能為客户提供全面服務，包括根據客户的規格，提供工業自動化儀器硬件及軟件定製設計、產品交付及安裝、為明大智能產品與客户生產線的整合進行質量控制測試及提供技術支援及售後服務。
董事會已與明大智能的管理層討論，並瞭解到溢利劇增主要是由於明大智能在研發方面付出額外努力，藉以提供增值服務及優化其毛利率。明大智能依託先進的技術能力和其聘用的技能人才，為製造商提供塑膠材料自動化生產的全面解決方案。毛利率由截至2019年12月31日止年度的約15.5%增加至截至2020年12月31日止年度的約52.4%。
經考慮塑膠材料製造行業的未來前景及明大智能為塑膠材料自動化生產提供全面解決方案的能力，董事認為，明大智能的運營將為集團作出正面貢獻。就此而言，董事認為收購事項與集團的業務多元化策略一致，為集團提供具吸引力的投資機遇，以擴展具有增長潛力的業務，並通過收購事項產生多元化收入及額外現金流。
