金石資源(603505.SH)擬與包鋼股份等合作開發包鋼螢石資源綜合利用項目
格隆匯3月8日丨金石資源(603505.SH)公佈，白雲鄂博礦是我國重要的鐵、稀土、鈮共生礦，並伴生約1.3億噸的螢石資源。為發揮白雲鄂博鐵礦資源優勢，有效綜合回收利用尾礦伴生螢石等資源、探索螢石選礦技術與化工技術的深度融合、開創螢石綜合利用新局面，金石資源與包鋼股份、永和製冷、龍大集團合資成立螢石選礦公司和氟化工公司2家合資公司，螢石選礦公司由包鋼股份控股，主要經營範圍為螢石選礦技術攻關及工業化生產實施；氟化工公司由金石資源控股，主要經營範圍為利用螢石選礦公司的螢石精粉生產氟化物。兩家公司按“選-化一體化”整體運作。
螢石選礦公司註冊資本金5億元，公司以貨幣出資2.15億元，佔合資公司股權比例43%；包鋼股份以貨幣出資2.55億元，佔合資公司股權比例51%；永和製冷以貨幣出資0.15億元，佔合資公司股權比例3%；龍大集團以貨幣出資0.15億元，佔合資公司股權比例3%。
氟化工公司註冊資本金7億元，金石資源以貨幣出資3.57億元，佔合資公司股權比例51%；包鋼股份以貨幣出資3.01億元，佔合資公司股權比例43%；永和製冷以貨幣出資0.21億元，佔合資公司股權比例3%；龍大集團以貨幣出資0.21億元，佔合資公司股權比例3%。
此次對外投資設立合資公司，綜合利用白雲鄂博礦山伴生的螢石等資源，有利於提升我國螢石戰略性資源的保障能力，緩解我國單一高品質螢石礦山保障年限不足的問題，契合國家重視資源綜合回收利用的理念，符合國家戰略發展方向。
此次合作有助於各方將資源優勢、技術優勢轉化成經濟優勢、市場優勢，有助於公司擴大市場份額，提升公司在全球螢石市場的競爭力，體現了公司深耕螢石主業的戰略定位，並將進一步鞏固公司在螢石行業龍頭企業的地位。
此次合作，系公司首次進入藴藏豐富的伴生共生螢石資源領域，將拓寬公司的業務範圍；同時，包鋼股份豐富的原料供給將為公司未來長期發展提供充足的資源保障，對公司長期可持續、高質量發展有重要意義，符合公司戰略的發展要求及全體股東的利益。
