创毅控股(03992.HK)：招商局集团拟3.9亿港元要约收购53.51%股权
格隆汇 3 月 8日丨中外运航运有限公司及创毅控股(03992.HK)联合公告，董事会获公司控股股东Genesis Group告知，2021年3月5日，Genesis Group(作为卖方)、要约人(即中外运航运有限公司，由招商局集团最终全资拥有)及担保人(即潘建良、李兆华、黎伟文及黄景祥)订立购股协议，据此，要约人已有条件同意收购销售股份(即267,562,500股股份，占于本联合公告日期公司全部已发行股本的约53.51%)，当中并不附带产权负担及于完成日或的后其所附带的一切权利，总代价约为3.896亿港元，相当于每股销售股份1.456港元。
于本联合公告日期，要约人及其一致行动人士并无于任何除购股协议项下的股份拥有权益。紧随股份销售完成后，要约人及其一致行动人士将拥有合共267,562,500股股份，相当于公司全部已发行股本约53.51%。因此，根据收购守则规则26.1，要约人将须就要约人及其一致行动人士未拥有或未同意收购的全部已发行股份(即无利害关系股份)作出强制性无条件现金要约。待股份销售完成后，招商证券(香港)将代表要约人根据收购守则按每股要约股份现金1.456港元作出要约。要约价较股份于最后交易日在联交所所报的收市价每股1.54港元折让约5.5%
在强制收购有效期内，倘根据要约有效交回以供接纳的无利害关系股份少于无利害关系股份的90%，要约人将无权行使强制收购权利，因此，公司不会从联交所撤销上市地位。由全体独立非执行董事组成的独立董事委员会已告成立，以就要约向独立股东提供意见。川盟融资有限公司已获委任为独立财务顾问，以就要约向独立董事委员会及独立股东提供意见。
根据披露，要约人为于香港注册成立的有限公司，其透过SSH、中国经贸船务有限公司及招商局投资发展有限公司由招商局集团间接全资拥有。要约人及其附属公司主要从事提供投资服务、提供船舶管理服务、投资控股及船舶租赁。于本联合公告日期，要约人董事会包括王有良先生及丁磊先生。经考虑物业管理行业的市场潜力后，要约人得以藉由该收购事项进军香港的物业管理市场。通过该收购事项，要约人可利用集团的物业管理经验，藉此促使要约人将其业务范围扩展至物业管理市场。
