億達中國(03639.HK)擬12.73億元向龍湖集團出售億達物業服務100%股權
格隆匯 3 月 4日丨億達中國(03639.HK)宣佈，於2021年3月4日，賣方(億達發展、億達服務、大連藍灣及誠悦，均為公司全資附屬公司)擬以人民幣12.73億元向買方龍湖嘉悦物業服務有限公司(為龍湖集團的全資附屬公司)出售目標公司億達物業服務集團有限公司全部股權。出售事項所得款項淨額將用作償還集團的負債。根據初步評估集團因出售事項將錄得收益約人民幣8.7億元。
據悉，目標公司主要從事住宅、商用及產業園區物業管理服務。遼寧億達於中國成立並由目標公司擁有51%。遼寧億達主要從事住宅、商用及產業園區物業管理服務。大連航港於中國成立並由目標公司擁有30%，主要從事住宅、商用及產業園區物業管理服務。合肥億雲於中國成立並由目標公司擁40%，主要從事住宅、商用及產業園區物業管理服務。大連青雲天下物業服務有限公司於中國成立併為目標公司的全資附屬公司，主要從事住宅、商用及產業園區物業管理服務。瀋陽億達物業管理有限公司於中國成立併為目標公司的全資附屬公司，主要從事住宅、商用及產業園區物業管理服務。浙江億興物業服務有限公司於中國成立併為目標公司的全資附屬公司，主要從事住宅、商用及產業園區物業管理服務。北京億興物業服務有限公司於中國成立併為目標公司的全資附屬公司，主要從事住宅、商用及產業園區物業管理服務。遼寧省億達城市環境工程集團有限公司於中國成立併為目標公司的全資附屬公司，主要從事住宅、商用及產業園區物業管理服務。成都億興物業管理有限公司於中國成立併為目標公司的全資附屬公司，主要從事住宅、商用及產業園區物業管理服務。
賣方向買方承諾，截至2024年12月31日止四個年度各年目標集團的賬面淨利潤將不低於人民幣7147萬元。倘於相關期間的賬面淨利潤低於保證溢利，賣方應向目標公司償付相等於相關期間之賬面淨利潤估計金額與保證溢利間之差額，以確保賬面淨利潤將不少於保證溢利。
公吿稱，新型冠狀病毒疫情的爆發對集團物業銷售業務產生負面影響。出售事項將讓集團透過出售一項輔助性業務線，迅速收回資金及彌補短期流動資金短缺，同時與買方建立合作關係。出售事項亦將為集團長期穩定發展作出貢獻。
