環亞國際實業(01143.HK)：擬控股輔助生殖醫療服務品牌"愛丁優生助孕"
格隆匯 3 月 4日丨環亞國際實業(01143.HK)宣佈，於2021年3月4日，公司全資附屬公司環亞國際輔助生殖科技集團有限公司與I .Baby Technology Investments Limited("潛在賣方")及I .Baby Technology Holdings
Limited("目標公司")訂立諒解備忘錄。
根據諒解備忘錄，公司(包括其指定人士)有意購買而潛在賣方有意出售潛在賣方所持有的目標公司若干數目的已發行股份，於可能收購事項完成後，該等股份將構成目標公司的控股權益。
據悉，目標公司為根據香港法例註冊成立的有限公司。於公吿日期，目標公司由潛在賣方全資擁有。根據目標公司所提供資料，"愛丁優生助孕"品牌由畢燁(彼持有哈佛大學健康管理碩士學位)創立並由目標公司經營，為於中國內首個孕前保健及輔助生殖服務公司品牌，而目標公司自2013年成立以來深耕輔助生殖服務市場。目標公司建基於"MLP"理念為基礎(MLP指醫學、生活方式及心理學)及以生殖醫學為核心，建立專注於專科門診和輔助生殖的"線上線下"閉環服務體系。
董事會了解到，新型冠狀病毒病(COVID-19)對全球經濟帶來不利影響仍然持續，全球旅遊限制、邊境管制及檢疫安排均對集團電子製造業務及在東南亞的房地產供應鏈服務造成衝擊及不利影響。
面對此等挑戰，董事會及公司管理層不僅致力發展集團的現有核心業務，亦積極探索新業務增長，特別是高端醫療健康服務。隨着中國放寬生育政策，加上全球不孕不育增加，董事認為高端輔助生殖醫療服務市場龐大。有監於此，董事會了解到目標公司有能力聚集醫療資源，營運頂級的輔助生殖醫療技術全面服務平台，以及其"愛丁優生助孕"之品牌優勢。鑑於潛在賣方及目標公司各自已認可公司於優質客户網絡的基礎，董事會認為，可能收購事項一旦落實，將有助集團將其現有業務重組為具增長潛力的行業。董事相信，憑藉目標公司及集團的優勢，進行可能收購事項長遠而言將為諒解備忘錄各方帶來協同效益。
