全新好(000007.SZ)對媒體報道進行澄清説明
格隆匯 2 月 28日丨全新好(000007.SZ)公佈，公司近日關注到有媒體關於《九個跌停板 誰在拋售全新好》的報道，基於對投資者負責的態度，公司已就報道內容向相關方詢證核實，認為相關報道內容無實質依據。為避免對廣大投資者構成誤導，公司現予以澄清説明。
1、關於“公司前控股股東一致行動人簽署《一致行動協議》前幾方其實已經在相互合作”的報道，公司澄清如下：
根據原控股股東及一致行動人在2019年10月份披露的《詳式權益變動報吿》以及前期獨立財務顧問核查情況，2019年10月10日，博恆投資與李強簽署了《一致行動人協議》；2019年10月11日博恆投資與陳卓婷、陸爾東分別簽署了《一致行動人協議》；2019年10月14日，博恆投資與林昌珍、陳軍、劉紅分別簽署了《一致行動人協議》。協議簽署後前述一致行動人建立一致行動關係。《一致行動協議》簽署前，前述人員不存在其他一致行動的情形。
2、關於媒體提及陸爾穗、張理、沈碧英、江晴霞、黃玲玲、張擁軍、叢美娟、李世軍、吳小云、蔡國新、張宏飛、李鋼鋼以及麻蘭真、麻麗芳、麻桂芳、麻惠芳、麻素芳、方曉凌、趙長華、蔡暢、陳惠音、黃漢忠、黃國榮、林燦偉等相關人員(“媒體提及人員”)與原控股股東及一致行動人關係的情況猜想，以及前述媒體提及人員、廣東省聯泰集團有限公司與公司董事長黃國銘關系的情況猜想，經與相關方詢證公司澄清如下：
公司檢查前期信息披露相關情況並向原控股股東及一致行動人詢證，經詢證陸爾東與陸爾穗為兄弟關係，陸爾東為公司股東期間與陸爾穗無持股重疊期，不存在與陸爾穗協商一致做出意思表示的情形，不存在通過協議及其他安排共同擴大其所能支配的股份表決權數量的行為，不存在特殊利益傾斜關係。除前述情況外，原控股股東及一致行動人與前述媒體提及人員之間不存在關聯關係，也不存在特殊利益傾斜關係或一致行動關係。
公司向董事長黃國銘詢證，經詢證董事長黃國銘父親不是黃振達，其與廣東省聯泰集團有限公司及前述媒體提及人員之間不存在關聯關係，不存在特殊利益傾斜關係，也不存在一致行動關係。
3、關於媒體報道的“董事會席位和管理層人事或可印證勢力格局”的情況公司澄清如下：
公司董事黃國銘、楊春龍、許雄，獨立董事陳毅龍、田進均為公司股東深圳市博恆投資有限公司提名並經公司股東大會投票產生，對公司及全體股東負責，不存在媒體報道勢力格局的情況。
4、關於媒體報道的“博恆投資與聯泰集團存在密切交集”的情況，公司核實如下：
公司前期已向博恆投資詢證，博恆投資與聯泰集團及其控股股東、實際控制人、董事、監事及高級管理人員，以及上述人員控制的公司之間不存在關聯關係、股權控制關係，相關股東之間不存在一致行動關係或其他協議安排。
