國電科環(01296.HK)附屬國電聯合動力接獲民事裁定書
格隆匯 2 月 24日丨國電科環(01296.HK)宣佈，於2021年2月22日，公司的附屬公司國電聯合動力技術有限公司("國電聯合動力")接獲河北省石家莊市中級人民法院("石家莊人民法院")針對國電聯合動力與淶源新天風能有限公司(“”淶源新天“”)的民事案件作出的(2020)冀01民特166號民事裁定書。
民事案件概要
於2011年4月，淶源新天與國電聯合動力簽訂了《淶源東團堡風電場項目風力發電機組(50MW)設備採購合同》。因雙方發生買賣合同糾紛，於2018年11月12日，國電聯合動力向石家莊仲裁委員會提起仲裁申請，要求淶源新天向國電聯合動力支付拖欠的貨款、品質保證金、剩餘伴隨服務費、違約金、律師費及仲裁費用等，合共人民幣180,091,360元。於2018年12月3日及2019年3月6日，淶源新天先後提交了《仲裁反請求申請書》及《增加仲裁反請求的申請書》，合併後的仲裁反請求要求減少設備價款，並要求國電聯合動力賠償發電量損失及因未履行伴隨服務義務造成的損失，仲裁費及其他費用則由國電聯合動力承擔。
於2020年2月18日，石家莊仲裁委員會作出了石裁字[2018]第1029號裁決書，裁決(i)淶源新天向國電聯合動力支付合同設備款人民幣43,565,750元、品質保證金人民幣9,102,250元及伴隨服務費人民幣1,006,500元；(ii)國電聯合動力向淶源新天支付發電量損失賠償款人民幣46,152,000元及伴隨服務損失賠償款人民幣503,519.94元；(iii)仲裁費和反請求仲裁費由雙方共同承擔；(iv)駁回國電聯合動力的其他仲裁請求；及(v)駁回淶源新天的其他仲裁反請求。
針對《仲裁裁決書》，國電聯合動力於2020年8月6日向石家莊人民法院提交了《撤銷仲裁裁決申請書》，申請撤銷《仲裁裁決書》的裁決。國電聯合動力於2021年2月22日接獲石家莊人民法院作出的《民事裁定書》，駁回國電聯合動力的《撤銷仲裁裁決申請書》。
經董事和公司管理層審慎判斷，認為民事案件的結果將減少公司2020年税前利潤約為人民幣1,700萬元。董事會認為民事案件並無對公司的整體業務、營運或財務狀況產生重大不利影響。
