長江電力(600900.SH)：長電安第斯完成強制要約收購 間接持有LDS公司97.14%股份
格隆匯2月23日丨長江電力(600900.SH)公佈，公司通過子公司長電安第斯投資有限公司(簡稱“長電安第斯”，長電安第斯是公司全資子公司中國長電國際(香港)有限公司在香港設立的公司)收購Sempra Energy International Holdings N.V在祕魯配電等資產，標的資產為Sempra荷蘭所持有的Sempra Americas Bermuda Ltd.(現已更名為Andes Bermuda Ltd.，簡稱“ABL公司”)100%股權以及Peruvian Opportunity Company S.A.C.(簡稱“POC公司”)約50.00000069%股權，其中POC公司剩餘約49.99999931%的股權由ABL公司持有；ABL公司和POC公司擁有的核心資產為利馬證券交易所上市公司Luz del Sur S.A.A.(簡稱“LDS公司”)83.64%的股權。2020年4月24日，交易雙方已按約定完成對ABL和POC公司的股權收購。
上述收購完成後，觸發對LDS公司剩餘不超過13.7%股份的強制要約收購(以下將對上述收購和強制要約收購統稱為“南美配電項目”)。
根據祕魯法規的相關規定及祕魯證券委員會覆函，由長電安第斯子公司POC公司作為履行強制要約收購義務的要約人。按照祕魯證券委員會指定的評估公司Kallpa Securities Sociedad Agentede Bolsa S.A.所出具的評估報吿，要約價格確定為每股8.5346美元。POC公司於祕魯時間2021年1月22日通過其代理行BBVA Bolsa SAB S.A.向祕魯證券委員會和利馬證券交易所提交了強制要約收購申請文件。
截至要約期限屆滿日(祕魯時間2021年2月19日下午4點)，接受強制要約的股份數共計6571.8458萬股，約佔LDS總股本的13.5%；POC將共計收購LDS公司6571.8458萬股普通股，支付對價約5.61億美元。該次強制要約收購將於2021年2月24日完成交割。該次強制要約收購完成後，長電安第斯通過ABL公司和POC公司共計間接持有LDS公司約97.14%的股份。根據祕魯法規的相關規定，完成該次強制要約收購不會觸發LDS退市。
