中儲股份(600787.SH)：中儲智運擬開展員工持股計劃
格隆匯 2 月 22日丨中儲股份(600787.SH)公佈，中儲南京智慧物流科技有限公司(“中儲智運”)為公司控股子公司，中儲股份持股37.1646%。作為開展骨幹員工持股混改試點企業，中儲智運根據《公司法》、《關於國有控股混合所有制企業開展員工持股試點的意見》(國資發改革[2016]133號)及《公司章程》等規定，結合公司實際，制定了員工持股計劃。
該計劃旨在進一步完善中儲智運治理結構，建立健全中儲智運核心管理團隊的激勵與約束機制，增強中儲智運核心管理團隊和科研骨幹對實現中儲智運持續、健康發展的責任感、使命感，吸引並保留優秀管理人才及科研骨幹，確保中儲智運發展目標的實現。
該計劃持有人範圍：在關鍵崗位工作並對中儲智運經營業績和持續發展有直接或較大影響的科研人員、經營管理人員和業務骨幹，且與中儲智運或子公司簽訂了勞動合同。中儲智運外部董事、監事(含職工代表監事)不得作為持有人。預計選擇180人蔘與該計劃。根據《中華人民共和國合夥企業法》，有限合夥企業由二個以上五十個以下合夥人設立，因參與該員工持股計劃的人員數量超過了50人的上限，故除原員工持股平台南京富敬企業管理合夥企業(有限合夥)外，另需成立有限合夥企業3家作為員工持股平台。新成立的3家有限合夥企業所持有的公司股權數量由管理委員會確定，由南京富敬企業管理合夥企業(有限合夥)向其轉讓。
標的股權來源為南京富敬企業管理合夥企業(有限合夥)在公司A輪股權融資、B+輪股權融資合計認繳的註冊資本(即500萬元註冊資本)對應的股權，佔公司目前註冊資本的4.8409%。單一持有人在該計劃項下通過持股平台間接持有的標的股權數量原則上不得高於公司註冊資本的1%。持有人認購每股標的股權的價格應不得低於【合夥企業認購公司每一元註冊資本對應的平均投資成本】，即6.6元/一元註冊資本[計算方法：(A輪股權融資認繳出資額500萬元+B+輪股權融資認繳出資額2800萬元)/500萬元註冊資本]。
