順豐控股(002352.SZ)：擬部分要約收購嘉裏物流51.8%股權 明起復牌
格隆匯 2 月 9日丨順豐控股(002352.SZ)公佈，為了進一步提升一體化綜合物流解決方案能力，完善貨運代理及國際業務的戰略佈局，公司擬通過全資子公司Flourish Harmony在前置先決條件獲得滿足或豁免(如適用)的情況下，向聯交所主板上市公司嘉裏物流(00636.HK)合資格股東及購股權持有人發出部分要約和購股權要約，以現金方式收購目標公司931,209,117股股份(約佔標的公司已發行股本的51.8%和全面攤薄股本的51.5%)及註銷相關標的公司購股權持有人持有的代表標的公司於最終截止日未行使購股權數量的51.8%的標的公司購股權(以3.5公吿發出之日標的公司未行使的購股權數量為基礎計算，對應購股權股數為5,615,227股)。
就此次交易而言，公司根據部分要約和購股權要約應付的總對價約港幣175.55億元(該交易對價乃基於部分要約項下針對全部931,209,117股股份(約佔標的公司已發行股本的51.8%和全面攤薄股本的51.5%)的要約以及購股權要約項下針對標的公司購股權持有人持有的代表標的公司於最終截止日未行使購股權數量的51.8%的標的公司購股權(以3.5公吿發出之日標的公司未行使的購股權數量為基礎計算，對應購股權股數為5,615,227股）的要約均被全部接納之假設而作出)。
其中就部分要約而言，每股要約價格為港幣18.8元；就購股權要約而言，每股購股權要約價格為部分要約價格與購股權行權價格(即每股港幣10.2元)的差額，即每股購股權要約價格為港幣8.6元；此外，如部分要約未獲得泰國強制要約豁免而需進行泰國強制要約收購的，此次交易對價將對應變動。與泰國強制要約及其豁免相關的內容參見本公吿第四部分(本次交易的有關安排)第一項第2(F)條。
於3.5公吿發出後，如標的公司支付、宣佈派發或同意支付分紅或以其他形式就標的公司股份進行分配，經與香港證監會協商，Flourish Harmony有權減少本次交易項下的要約價格，減少的金額相當於前述分紅或其他形式的分配的金額(如有下列第2或第3項所列情況，則就2020財務年度而言，減少的金額等於2020財務年度全年分紅超過2020財務年度全年分紅門檻的部分；就2021財務年度而言，減少的數額等於2021財務年度中期分紅超過2021財務年度中期分紅門檻的部分)；但是本次交易要約價格不會因1)與香港倉庫出售相關的特殊分紅(該等特殊分紅具體內容參見下文)；2)未超過目標公司2020財務年度全年分紅門檻的2020財務年度全年分紅；和3)未超過目標公司2021財務年度中期分紅門檻的2021財務年度中期分紅而調整。
若成功完成此次交易，標的公司仍將保持聯交所主板上市地位，其公眾持股比例將從25%更改為15%。
標的公司集團的核心業務包括綜合物流、國際貨運代理及供應鏈解決方案。標的公司集團總部位於香港特別行政區，擁有橫跨六大洲遍及全球的網絡，包括位於大中華及東盟地區的最大規模之一的配送網絡和樞紐業務。
經公司向深圳證券交易所申請，公司股票自2021年2月10日開市起復牌。
