萬訊自控(300112.SZ)：視科普擬獲增資3000萬丹麥克朗 加碼工業機器人3D視覺系統業務
格隆匯 2 月 8日丨萬訊自控(300112.SZ)公佈，根據公司及其子公司深圳視科普機器人技術有限公司(“視科普”)的戰略發展規劃，擬進一步加大工業機器人3D視覺系統的產品研發和市場開拓投入，一方面，持續優化Bin-picking機器人3D視覺系統相關產品的結構和性能，拓展相關產品在汽車製造、物流分揀等智能製造和工業自動化領域的應用，另一方面，投入開發3D視覺引導焊接機器人和康復機器人等相關技術和產品，拓展相關產品在焊接和康復領域的應用。為推進前述戰略佈局的實施，公司及視科普擬進行以下交易：
1、交易一：由視科普現有股東對其進行增資3000萬丹麥克朗，以進一步優化Bin-picking機器人3D視覺系統相關產品的結構和性能，拓展相關產品在汽車製造、物流分揀等智能製造和工業自動化領域的應用，其中，萬訊自控增資900萬丹麥克朗，Scape Technologies A/S(“Scape”)增資500萬丹麥克朗，深圳市視佳投資合夥企業(有限合夥)(“視佳合夥”)增資1600萬丹麥克朗，前述增資完成後，萬訊自控將持有視科普30.59%股權，Scape將持有視科普17.40%股權，視佳合夥將持有視科普52.01%股權；
2、交易二：由視科普向廣西安博特智能科技有限公司(“安博特”)投資人民幣400萬元以促進其開發3D視覺引導焊接機器人和康復機器人等相關技術和產品的開發和市場開拓，前述投資完成後，視科普將持有安博特30%股權；
3、交易三：由視科普和安博特共同投資設立合資公司深圳視科博視覺技術有限公司(暫定名，最終以工商核准名稱為準，“視科博”)以合作開發3D視覺引導焊接機器人工作站等技術和產品，開拓焊接機器人市場，其中，視科普以現金出資人民幣1000萬元佔視科博70%股權，安博特以知識產權和技術出資人民幣300萬元佔視科博30%股權。
