贛鋒鋰業(002460.SZ)：子公司擬不超2400萬英鎊認購Bacanora公司部分股權
格隆匯 2 月 5日丨贛鋒鋰業(002460.SZ)公佈，公司於2021年2月5日召開的第五屆董事會第十七次會議審議通過了《關於全資子公司上海贛鋒認購Bacanora公司部分股權涉及礦業權投資暨關聯交易的議案》，同意公司全資子公司上海贛鋒以自有資金以每股45便士的價格認購Bacanora新增股份約5333.33萬股，交易金額不超過2400萬英鎊。此次交易完成前，上海贛鋒持有Bacanora25.74%股權；此次交易完成後，上海贛鋒將持有Bacanora不超過29.99%股權。授權公司經營層全權辦理此次交易的相關事宜。
Bacanora是一家成立於2018年在英國倫敦證券交易所AIM板塊上市的公司，倫敦證券交易所代碼為BCN；註冊地址為4MoreLondon Riverside, London, SE1 2AU；主營業務為集團控股以及鋰黏土資源項目管理。其旗下的主要資產為位於墨西哥的鋰黏土Sonora項目；截至本公吿披露日，Bacanora的已發行股本為約2.23億股，上海贛鋒為第一大的股東，持有Bacanora25.74%的股權。
Sonora項目是位於墨西哥的鋰黏土提鋰項目，是目前全球最大的鋰資源項目之一。根據Sonora項目的可行性研究報吿，該項目總鋰資源量為約合880萬噸碳酸鋰當量。得益於鋰黏土資源的獨特優勢，該項目的提鋰工藝特點是能夠同時兼具礦石提鋰以及鹽湖提鋰的優點，既能夠以類似礦石提鋰的速度在短時間內完成提鋰過程，也能夠以類似滷水提鋰的成本以較低成本完成提鋰。截至公吿披露日，該項目尚未投產，預計一期項目投產後的年化氫氧化鋰產能為2萬噸。
此次交易會使公司現金流產生一定的淨流出，但不會對公司正常的運營資金產生明顯的影響。此次交易完成後，公司將加快推動Bacanora公司旗下Sonora鋰黏土項目的投產進度，此次交易對公司2021年度的財務狀況和經營成果影響很小。
