電能實業(00006.HK)附屬擬收購英屬哥倫比亞風場項目
格隆匯 2 月 5日丨電能實業(00006.HK)發佈公吿，2021年2月4日，公司非全資附屬公司SPV作為待售股份(即PSS Holdings全部股權)買方、CPHI(長江基建及公司的合營公司)作為債務買方及賣方(透過其普通合夥人InstarAGF Essential Infrastructure GP Inc.，作為待售股份及債務賣方)就收購事項訂立股份及債務購買協議；及CPHI、長江基建、公司與SPV訂立出資及收購支援協議，據此，長江基建、公司及SPV同意就收購事項向CPHI提供或促使提供出資及／或收購支援，而CPHI及SPV同意在完成後進行或促使進行若干步驟，以使CPHI集團擁有PSS LP的100%股權。完成時應付賣方的代價總額應為5327.7玩加元(相當於約港幣3.23億元)。
根據股份及債務購買協議，賣方已同意出售及轉讓待售股份予SPV；及CPHI同意向賣方購買並接納賣方轉讓債務。 PSS Holdings擁有PSS LP的100%合夥權益，而PSS LP透過其附屬公司全資擁有及經營於英屬哥倫比亞的Okanagan Wind項目(包括Pennask風場及Shinish Creek風場，合計裝機容量為30兆瓦)。
公吿稱，CPHI一直尋求機會擴展其能源業務範疇，為求令其多樣化，而收購事項經成功的投標競價程序達致，為具吸引力及發展潛力的可再生能源投資，能使CPHI集團的能源平台更多樣化。因此，CPHI向長江基建及公司提出請求，為收購事項及支付交易費用提供資金支援。此外，為透過於完成後進行若干步驟提高投標的競爭力，CPHI要求長江基建及公司促使SPV(一間最近註冊成立的特定目的公司，由長江基建及公司擁有50:50權益)收購待售股份，而CPHI將自賣方收購債務，並承諾進行該等步驟使CPHI集團擁有PSS LP的100%股權。
