格隆匯 2 月 2日丨銀城生活服務(01922.HK)發佈公吿,2021年2月1日,銀城物業(公司間接全資附屬公司)與銀城商管訂立出資協議書甲,以成立合資公司甲,藉以在中國開展商業物業的物業管理服務;及出資協議書乙,藉以開發線上平台,為集團現時所管理的住宅及非住宅物業的業主及用户提供社區增值服務。

根據出資協議書甲,合資公司甲(南京銀城商業物業服務有限公司)分別由銀城物業及銀城商管擁有60%及40%權益。註冊資本為人民幣500萬元(分別由銀城物業及銀城商管出資現金人民幣300萬元及200萬元),須以現金繳足。合資公司甲將主要從事提供物業管理服務(以工商行政管理部門的確認為準)。

根據出資協議書乙,合資公司乙(南京銀城惠科技網絡有限公司)分別由銀城商管及銀城物業擁有60%及40%權益。註冊資本為人民幣500萬元(分別由銀城商管及銀城物業出資現金人民幣300萬元及200萬元),須以現金繳足。合資公司乙將主要從事供應鏈管理、軟件及網絡技術開發、應用程式設計、企業營銷策劃、廣吿的製作與刊發(以工商行政管理部門的確認為準)。

公吿表示,合資公司甲將主要專注於商業物業管理,在該公司的成立過程中,銀城商管將負責與開發商進行磋商,以取得商業物業的開發及管理權,而銀城物業則將會運用其專業知識管理有關物業。董事會相信,訂立出資協議書甲將有助集團進軍至大型商業物業管理領域,並對集團的財務狀況起到積極作用,因與住宅及其他非住宅物業管理相比,商業物業管理整體的毛利率及盈利水平一般預期較高。

另一方面,合資公司乙的成立將主要用於開發線上平台,以向現時由集團管理的住宅及非住宅物業的業主或用户提供獨家會員優惠(當中包括但不限於為中國若干品牌提供折扣及宣傳活動)。董事會相信,有關業務與集團為所管理的社區提供優質綜合服務的理念一致,並相信銀城物業與銀城物管之間的合作,將可運用各自的專業知識為彼此帶來協同效益,藉以提升其服務水平、增強競爭優勢,繼而有潛力在各自的行業內搶佔更多市場份額。
