惠天熱電(000692.SZ)獲知惠天房地產和儲運集團存在為盛京能源及其關聯方提供擔保事項且具有承擔連帶責任的風險
格隆匯 1 月 29日丨惠天熱電(000692.SZ)公佈，前期公司控股股東瀋陽供暖集團有限公司之母公司瀋陽盛京能源發展集團有限公司(“盛京能源”)及其下屬部分子公司進入重整程序，在此信息傳遞交流過程中，公司獲知，公司參股公司瀋陽惠天房地產開發有限公司(“惠天房地產”)和瀋陽儲運集團有限公司(“儲運集團”)存在為盛京能源及其關聯方提供擔保事項且具有承擔連帶責任的風險。
上述擔保事項屬惠天熱電參股公司的行為，公司在上述參股公司日常經營中不具有實時掌控權，上述擔保事項是前任盛京能源領導任職期間，在公司不知情的情況下操作完成，因此公司未能履行相應內部審議程序和及時對外信息披露義務。
目前，盛京能源及時代金科已進入重整程序，惠天房地產上述擔保事項面臨着承擔相應連帶責任風險。
公司於2018年年底在瀋陽聯合產權交易所將持有的惠天房地產51%股權進行掛牌轉讓，瀋陽城建智慧產業園房地產開發有限公司受讓了上述股權，並於2018年12月26日辦理了產權交割。公司持有惠天房地產股權由100%變更為49%。在上述股權轉讓前，公司曾對惠天房地產形成財務資助約3.6億元，股權受讓雙方約定，上述公司對惠天房地產的3.6億元債權，分別由惠天房地產(承擔49%)和股權受讓方瀋陽城建智慧產業園房地產開發有限公司(承擔51%)分別償還給公司，並約定於2020年11月30日前分別償還各自承擔部分的20%，剩餘債務於2021年11月30日前全部償還。目前20%債權的還款期限已過，但受對外擔保事項影響，至今公司債權未獲償還。
同時，公司對惠天房地產的股權投資存在計提全額減值的可能。
截止目前，公司已就上述事項與相關各方展開溝通與協商，努力尋求化解風險方案，力爭使之對公司的影響降至最低。同時公司就此事項將結合控股股東重整進展，按照股票上市規則規定及時履行信息披露義務。
目前，盛京能源及時代金科、惠湧供熱、儲運集團已進入重整程序，公司對儲運集團3.86億元股權投資面臨計提減值的可能。
截止目前，公司已就上述事項與關聯方展開協商與溝通，同時將密切關注控股股東重整的進展情況，依法依規開展債權申報工作，積極通過合法途徑維護公司權益。
