遠東股份(600869.SH)：控股股東正在與宜興城投溝通協商股份協議轉讓事項
格隆匯 1 月 28日丨遠東股份(600869.SH)公佈，公司股票於2021年1月27日至1月28日連續兩個交易日內漲停，收盤價格漲幅偏離值累計超過20%，屬於股票交易異常波動情形。公司現對有關事項和風險説明如下，敬請投資者理性投資，注意投資風險。
前期與小牛電動簽訂意向戰略採購協議預計實現銷售收入9億元，公司2019年經審計營業收入為171.99億元。本次戰略採購協議履行期為3年，預計各年度履行金額佔公司當年營業收入比重較低。此外，本次採購協議僅為框架性協議，後續將由交易對方通過月度或季度子訂單形式執行，並分別就產品質量和技術單獨提出要求，如公司後續無法滿足相應要求，協議訂單將無法繼續履行，可能出現營收不及預期的情形。
由於遠東電池有限公司近年來持續虧損，且預計未來仍存在較大不確定性，截至2020年10月31日遠東電池有限公司共計提資產減值準備142010.38萬元，其中應收賬款計提22514.89萬元、存貨計提21747.49萬元、固定資產計提25001.96萬元、商譽計提70523.11萬元。
受以往併購標的企業影響，公司對遠東電池有限公司、水木源華電氣有限公司、上海艾能電力工程有限公司相關資產進一步減值，2021年1月23日公司披露了《2020年年度業績預虧公吿》(公吿編號：臨2021-011)，公司預計2020年年度實現歸屬於上市公司股東的淨利潤為-14.13億元到-16.96億元。
經公司自查，並書面徵詢控股股東及實際控制人，截至公吿披露日，控股股東遠東控股集團有限公司(“遠東控股”)正在與宜興市城市發展投資有限公司(“宜興城投”)溝通協商股份協議轉讓事項，初步確定分階段向宜興城投協議轉讓不超過10%公司股份。公司控股股東遠東控股目前持有上市公司股份55.61%，此次協議轉讓不會導致控制權變更。目前交易雙方尚未就股權轉讓事項簽訂協議，最終方案尚需相關部門審批，該事項能否最終實施尚存在不確定性。公司將根據該事項的進展情況及時、準確地履行信息披露義務，請投資者予以關注。
