泛亞國際(06128.HK)擬發行可換股票據及認股權證 建議法定股本增加至2000萬港元
格隆匯 1 月 20日丨泛亞國際(06128.HK)發佈公吿，2021年1月19日，公司作為發行人與Lexinter International Inc.作為認購人就以不超過總承擔1500萬美元(相等於約1.16億港元)惟不少於最低承擔500萬美元(相等於3875萬港元)的最多本金總額(由股份抵押所抵押)發行及認購可換股票據及認股權證以及按價格1.00美元(相等於7.75港元)購買認股權證訂立認購協議。
倘公司於截止日期前無法獲得授出及發行認股權證及認股權證股份的特別授權或聯交所批准及認購人選擇終止認購協議，初步換股價應予下調至經調整換股價0.57港元，即上市規則第13.36(2)條項下截至認購協議日期股份的基準價。
倘認購人已認購達最低承擔的可換股票據及假設所有換股股份按初步換股價每股換股股份0.65港元獲悉數轉換，59,615,384股換股股份將予配發及發行，相當於(i)於本公佈日期公司全部已發行股本約12.36%；及(ii)經悉數配發及發行換股股份擴大後公司全部已發行股本約11%。假定認購人已認購的可換股票據達到總承擔及假設所有換股股份按每股換股股份0.65港元的初步換股價獲悉數轉換，178,846,153股換股股份將會予以配發及發行，相當於(i)於本公佈日期公司已發行股本總額約37.08%；及(ii)經悉數配發及發行換股股份擴大的公司已發行股本總額約27.05%。
根據認購協議，待相關先決條件(包括但不限於於股東特別大會上授出特別授權)獲達成(或豁免)後，公司於截止日期或的前應向認購人發行初步認股權證及後續認股權證。公司將發行的認股權證金額應相等於公司向認購人發行的可換股票據本金額的50%。
倘認購人已認購的可換股票據達到最低承擔，則公司將向認購人發行的認股權證金額將為250萬美元，及假設認股權證所附的認股權證認購權按每股認股權證股份0.65港元的初步認股權證行使價獲悉數行使，將會配發及發行29,807,692股認股權證股份，相當於(i)於本公佈日期公司已發行股本總額約6.18%；及(ii)經全數配發及發行認股權證股份擴大的公司經擴大已發行股本總額約5.82%。
倘認購人已認購的可換股票據達到總承擔，則公司將向認購人發行的認股權證金額將為750萬美元，及假設認股權證所附的認股權證認購權按每股認股權證股份0.65港元的初步認股權證行使價獲悉數行使，將會配發及發行89,423,076股認股權證股份，相當於(i)於本公佈日期公司已發行股本總額約18.54%；及(ii)經全數配發及發行認股權證股份擴大的公司經擴大已發行股本總額約15.64%。
倘最多達總承擔的可換股票據的所有換股權均按初步換股價每股換股股份0.65港元獲全數轉換及有關相應認股權證的所有認股權證認購權按初步認股權證行使價每股認股權證股份0.65港元獲悉數行使，合共268,269,230股新股份將予配發及發行，相當於(i)於本公佈日期公司全部已發行股本約55.62%；及(ii)經悉數配發及發行換股股份及認股權證股份擴大後公司全部已發行股本約35.74%。
此外，公司現時法定股本為780萬港元，分為7.8億股股份。為向公司提供未來投資機會的更大靈活性，董事會擬透過增設12.2億股新股份將公司法定股本由780萬港元(分為7.8億股股份)增至2000萬港元(分為20億股股份)。
