保力新(300116.SZ)：擬使用2000萬元對瑞迪泰科進行增資 或進一步增資、收購
格隆匯 1 月 19日丨保力新(300116.SZ)公佈，為進一步推進公司戰略規劃和經營發展需要，拓寬公司新能源產品的銷售渠道，滿足公司鋰電池產品在低速智能出行領域的佈局，經公司與深圳瑞迪泰科電子有限公司(“瑞迪泰科”或“標的公司”)及其原股東友好協商，達成一致並簽署《增資協議》、《增資補充協議》。公司擬使用自有資金人民幣2000萬元對瑞迪泰科進行增資，其中人民幣22.22萬元計入標的公司新增註冊資本，剩餘人民幣1977.78萬元作為溢價計入公司的資本公積，增資完成後公司將取得瑞迪泰科10%的股權。同時，若瑞迪泰科完成相應的業績承諾，公司將進行進一步增資、收購，直至公司取得瑞迪泰科51%的股權。
深圳瑞迪泰科電子有限公司自2018年啟動電動平衡車和電動滑板車項目，當年實現3億元銷售收入；2019年銷售170萬台，實現8億元銷售收入，出口退税6700萬元，成為中國電動平衡車滑板車最大的出口企業之一；2020年受疫情影響出口75萬台。
瑞迪泰科擁有外觀專利32項、中國實用新型專利27餘項，平衡車/滑板車系列產品是業內擁有核心專利技術和私模外觀產品最多的公司。其在中國設立研發中心、製造中心、物流中心，在美國建立海外營銷中心，組建了一支具備國際視野的產品研發及品質管理團隊，為世界500強沃爾瑪(Walmart)、美國百思買(Best Buy)主力供應商和長期合作夥伴。為英國Argos長期戰略合作夥伴，產品深受海外30萬資深玩家、青少年和發燒友喜愛。
瑞迪泰科有一套從設計、製造、物流到銷售的高度垂直整合的供應鏈管理體系，與供應鏈上下游優質的供應商進行密切溝通。整合產業鏈專業的合作伙伴，深化戰略合作，因此，鑄就了瑞迪泰科高性價比的產品體系，引領行業標準。
瑞迪泰科在電動平衡車和電動滑板車市場具有廣闊的銷售渠道和穩定優質的客户資源，其產品暢銷海外多個國家，成為中國電動平衡車和電動滑板車最大的出口企業之一。公司此次增資瑞迪泰科，將藉助標的公司在低速智能出行領域的市場優勢與其協同推進鋰電池相關業務，進一步拓寬公司新能源產品的銷售渠道，滿足公司鋰電池產品在低速智能出行領域的佈局，豐富公司業務結構，能為公司帶來新的利潤增長點。
