天澤信息(300209.SZ)擬與萬程簽署合作協議
格隆匯 1 月 11日丨天澤信息(300209.SZ)公佈，公司為集中資源全面聚焦跨境電商業務發展，不斷做強、做精跨境電商主業，計劃對現有車聯網業務進行重組與剝離。為保證有序、平穩地實現這一目標，公司(甲方)擬與萬程(乙方)簽訂相關合作協議，以為公司相關車聯網業務客户提供良好履約服務。核心業務條款如下：
(1)甲方、乙方(或其控股的企業，此處統稱“乙方”)共同出資成立徐州子公司，以發展徐州車聯網業務。徐州子公司註冊資本預計為500萬元，其中甲方認繳出資325萬元，佔註冊資本的65%；乙方認繳出資175萬元，佔註冊資本的35%。成立後的徐州子公司由甲方控股，將納入甲方合併報表範圍。雙方同意屆時根據乙方所負責客户業務回款情況確定最終徐州子公司註冊資本金額，並適時啟動徐州子公司註冊登記。具體投資細節由相關各方另行簽訂相關投資協議進行約定。
(2)對於甲方指定客户，乙方保證按照甲方與甲方客户業務協議約定全面提供持續的運維及技術服務工作，並負責與上述客户相關的應收賬款的全面回收。
(3)乙方應全力配合甲方指定的車聯網業務相關員工的清退與善後工作。甲方承諾向乙方支付175萬元作為上述員工的全部辭退與善後費用(包括但不限於離職補償金、賠償金等)。如最終甲方支付的費用超過175萬元的，超支部分由乙方向甲方補償。甲方不限制其員工(包括已離職員工)自願進入擬成立的徐州子公司工作。
(4)甲方依據乙方所負責的客户業務回款情況，將應收賬款實際回款金額優先扣除本協議上述甲方為款項回收所支出成本、上述175萬元員工辭退與善後費用及與該應收款項直接相關的供應商成本後，再將一定比例的應收賬款淨額用於注入擬成立的徐州子公司，以實繳甲方認繳的出資額。具體注入比例雙方在投資協議中另行約定。
(5)乙方配合完成甲方車聯網業務相關員工的清退與善後工作後7個工作日內，甲乙雙方應簽署關於設立徐州子公司的投資協議。
公司2019年度實施完成重大資產重組，完成收購深圳市有棵樹科技有限公司99.9991%股權。公司主營業務在產業互聯網IT服務基礎上增加了跨境電商業務。其中跨境電商業務是公司當前真正的核心主業和主要盈利來源。2020年上半年以來，公司產業互聯網IT服務中的主體業務車聯網業務銷售收入下降明顯，天澤信息母公司經營活動現金流淨額持續為負。現有的雙主業形態已不利於公司未來的長遠發展。
為集中資源全面聚焦跨境電商業務發展，不斷做強、做精跨境電商主業，公司計劃對現有車聯網業務進行重組與剝離。鑑於萬程先生負責的公司徐州事業部團隊業務建制相對完備，基本具備獨立的業務承攬與履約能力，公司將現有相關業務與人員剝離至計劃成立的徐州子公司，在降低公司後續車聯網業務經營風險的同時，還可保證上市公司繼續享有優質客户服務所帶來的長期收益。此次合作符合公司的長期發展戰略目標，可進一步優化上市公司的業務結構，也便於上市公司主體集中資源、人才專注於跨境電商產業，加速推進跨境電商業務的發展。
