中國聯通(00762.HK)：紐約證交所宣佈啟動美國存託證券下市程序
格隆匯 1 月 4日丨中國聯通(00762.HK)發佈公吿，公司注意到，紐約證交所於2020年12月31日(美國東部標準時間)宣佈，紐約證交所監管部門職員已決定對包括公司的美國存託證券在內的三家發行人的證券啟動下市程序，依據是公司因該行政命令而根據紐約證交所上市公司手冊第802.01D條不再適合上市。該行政命令於2021年1月11日上午9:30(美國東部標準時間)開始禁止任何美國人士對包括公司的最終控股公司中國聯合網絡通信集團有限公司在內的相關公司的公開交易證券、該等證券的任何衍生證券或旨在為該等證券提供投資機會的證券進行任何交易。紐約證交所將於2021年1月7日上午4:00(美國東部標準時間)暫停美國存託證券的買賣，或倘若存管信託及結算公司(DTCC)確認將就2021年1月7日及1月8日的交易日執行的交易進行結算，則紐約證交所將於2021年1月11日上午4:00(美國東部標準時間)暫停美國存託證券的買賣。紐約證交所將向美國證券交易委員會提出申請，於完成所有適用程序後把美國存託證券下市。於該公吿發布之時，公司尚未收到紐約證交所就上述將公司美國存託證券下市的決定的任何通知。
截至2020年12月31日，公司已發行普通股股份總數為30,598,124,345股。公司目前已發行美國存託證券約3,300萬份，每份代表10股普通股股份，已發行美國存託證券所代表普通股股數佔公司已發行普通股股份總數約1%，或相當於非由公司控股股東所控制的已發行普通股股份總數約5%。於2020年公司的美國存託證券的日均成交量佔公司股票在聯交所及紐約證交所的總日均成交量約9%。
公吿表示，公司對紐約證交所上述決定和行動表示遺憾。公司估計紐約證交所的有關決定和行動將對公司的普通股和美國存託證券的交易價格及交投量產生影響。公司將繼續密切關注相關事項進展，並研究考慮採取適當的措施，以保護公司的合法權益。未來公司將按照聯交所證券上市規則及適用法律適時發佈進一步的公吿。
