偉祿集團(01196.HK)：法院判決冠彰及Citibest須向原吿賠償2962萬元及利息損失
格隆匯12月31日丨偉祿集團(01196.HK)發佈公吿，集團於2020年12月接獲廣東省高級人民法院所發出日期為2020年11月13日的民事判決書，內容有關深圳市新有序規劃設計有限公司（原吿）針對Citibest Global Limited（為公司間接全資附屬公司）及冠彰電器（深圳）有限公司（為Citibest全資附屬公司及公司間接全資附屬公司）提出的再審申請；及深圳市前海合作區人民法院就執行該判決所發出日期為2020年12月25日的執行通知。
公司乃根據於2016年3月訂立的買賣協議透過德峯創投有限公司（為公司間接全資附屬公司）向洪馨慧女士（賣方）收購Citibest全部已發行股本。
該案最初由原吿於2016年提起，據此，其聲稱根據原吿、Citibest及冠彰於2015年1月訂立的代理協議，Citibest同意委聘原吿作為其代理，以就Citibest出售其於冠彰（其持有一幅位於深圳的土地及建於其上的樓宇）的股本權益與潛在買家聯繫；及其指稱冠彰及Citibest根據代理協議向其尚應支付款項人民幣3200萬元連同據此應計的利息。代理協議乃於訂立收購協議之前訂立。
根據該判決，其中冠彰及Citibest須於該判決生效日期後十天內向原吿賠償人民幣2962萬元及利息損失；倘冠彰及Citibest未能於該判決規定期間內履行付款責任，須按照《中華人民共和國民事訴訟法》第二百五十三條的規定，加倍支付遲延履行期間的債務利息；及冠彰及Citibest須承擔法律費用人民幣373,554元。該判決為最終判決。
根據執行通知，其中：(i)該判決已經生效；(ii)原吿已於2020年12月24日向前海法院入稟申請，要求前海法院強制冠彰及Citibest支付款項人民幣2999萬元、承擔遲延履行期間的賠償利息，以及有關執行申請的相關費用，而前海法院已於同日立案；及(iii)冠彰及Citibest被責令須於執行通知送達後五日內履行該判決所述義務；倘逾期乃未履行，則前海法院將根據相關法律實施強制執行。
集團正就其將就該訴訟及該判決採取的適當行動尋求法律意見。然而，與此同時，集團須根據執行通知於執行通知送達後五日內支付相關訴訟金額。據集團估計，預期相關訴訟金額將約為人民幣3600萬元，而於本公佈日期，集團正尋求前海法院確認上述金額。
