恒隆地产(00101.HK): 收购寿山村道37号物业无法按原定时间完成

恒隆地产(00101.HK)及恒隆集团(00010.HK)联合公布,早前有关以25.66亿元收购香港寿山村道37号物业的交易定於今天(30日)中午或之前完成。

於上周一(21日),恒隆地产及投标人通过其法律顾问收到土地注册处发出的函件,当中指明美国驻港总领事馆不是一般商业主体,而该物业不是普通房产;该物业的出售涉及中国及美国两国间的外交事务,不是一般商业行为;中国政府已告知香港特区政府,倘若美国驻港总领事馆有意租赁、购置、出售或以其他任何方式获得或处置任何位於香港特区的房地产,美国政府应提前60天经外交部驻港特派员公署向中国政府提出申请,并提供详细资讯,在取得中国政府书面答覆同意後方可办理有关手续;於该函件日期,土地注册处并未收到任何文件,证明美国政府就出售该物业已遵从该等外交义务。因此,除非及直至美国政府能提交书面文件证明已遵从上述规定,否则土地注册处不能为该协议备忘录进行注册。

公司指,函件中所提述的事项属特殊事项,且在投标人於投标前及投标时或在签订该协议备忘录时不为恒隆地产及投标人所知及预期之内。投标人通过各自之法律顾问通知美国,须提供美国已遵从该等外交义务之书面证明;及任何该等美国提供的书面证明获得土地注册处信纳并注册该协议备忘录及该物业由美国转让予投标人的转让契。

美国在昨日(29日)透过其法律顾问提出对於遵从该等外交义务的必要性之异议,唯未有按照该要求信的请求提供证明。因此,交易并无按照原定时间之前完成。

交易的所有相关方同意此交易及完成涉及中国与美国两个主权国家之间的外交事务,因此并非恒隆地产及投标人所能控制。恒隆地产及投标人正评估及向法律顾问了解有关该交易及上述事项可作出的适当行动,包括研究延长完成时间的可能性。
