天工國際：天工工具獲戰投15億元，集團財務狀況穩中有升
天工國際公吿，於2020年12月28日，天工工具，天工新材，天工香港，其他天工方及投資方訂立了投資協議，據此，投資方將以人民幣14.15億元的代價，認購總計註冊資本人民幣4.34億元，約16.65%天工工具的股權（經投資協議及股權認購協議的認購股權事項而擴大）。
於股權認購事項完成後，公司透過天工香港及天工新材而擁有的股權將由100%下降至82.35%，天工工具將成為公司的間接非全資附屬公司。
天工國際表示，由股權認購事項所得的款項將用於償還天工工具集團日常經營中發生的某些銀行貸款，以及用於補充天工工具集團的營運資本及促進其業務發展。
天工工具主要從事製造及銷售模具鋼、高速鋼及切削工具，其於2018年度及2019年度淨利潤分別為2.24億元人民幣及3.56億元人民幣。
公司財務狀況顯示，本次股權交易的並非出於經營狀況的下滑。
2020Q6，受疫情衝擊進出口等因素影響，公司營業額同比下降了10.59%至25.09億元，但同期毛利率和淨利率分別達到21.58%和8.49%，較上年同期分別提升8.89和3.01個百分點。
公司同期經營現金流增加7.27%至4.51億元，期末現金流淨額增加3.02%至5.95億元，償債能力指標較上年同期均有所提升。但相比之下，公司應收賬款同比增加了14%至27.29億元，定期存款減少了26.68%至4.22億元，短期投資減少了24%至314萬元。
值得注意的是，簽署本次協議的投資方由佳泰、啟鷺、啟辰、金石新材料基金、中國石化資本等共計13家公司機構組成。根據相關信息披露，上述投資方的公司機構具有國資背景。
此外，天工工具與丹陽天一訂立了股權認購協議，據此，丹陽天一將以人民幣8500萬元的代價，認購註冊資本人民幣2608萬元，約1%天工工具的股權（經投資協議及股權認購協議的認購股權事項而擴大）。
丹陽天一為一家試試員工持股計劃為目的投資控股實體，是天工工具某些員工的持股平台，該公司的兩名合夥人為丹陽天一的董事，因此本次交易構成天工國際的關聯交易。
近6個月以來，天工國際股價較6月份的最低點以上漲近60%。
歐美市場疫情的新一輪衝擊，給當地供應和生產帶來負面影響。在此背景下，國內製造業細分行業龍頭將受益於中國“國產替代”的浪潮，以及部分外國客户需求的增長。
關於天工國際是否赴科創板上市的傳言，如今也甚囂塵上。2019年曾有不少投資者詢問公司是否考慮科創板上市。公司雖並未直接證實IPO的有關傳聞，但諱莫如深地表示：“公司會綜合考慮集團內部發展戰略和科創板的發展情況，適時考慮和推進天工股份的轉板事宜。”
在A股科創板上市可以通過估值體系靠攏的機制，推動股價上漲，從而扭轉公司股價、估值背離的現狀，為二級市場投資帶來更大的獲利空間。
