山東黃金(01787.HK)：山東黃金香港取得卡帝諾控制權
格隆匯 12 月 24日丨山東黃金(01787.HK)宣佈，山東黃金香港現已取得所有卡帝諾股份超過50%的相關權益。山東黃金香港擬根據要約交易收購人聲明中所載意向，行使其已取得的控制權，包括適時提議委任卡帝諾董事會代表。據此，卡帝諾現成為公司非全資附屬公司。
要約交易現時計劃於2020年12月31日下午七時正(悉尼時間)(除非被延長)結束。根據公司法第624(2)條，倘山東黃金香港於要約期最後七日(即2020年12月25日至2020年12月31日)提高其要約價，則要約期將自動延長，以於提高要約價日期後14日結束。
倘要約期未有按《2001年公司法》自動延長，山東黃金香港擬將要約期延長至不早於2021年1月12日結束。山東黃金香港將適時正式提交延長要約期的文件。
公告稱，根據Nord GoldS.E.日期為2020年12月24日的公告，Nord Gold競爭性要約已於2020年12月23日澳交所交易結束時完結，而Nord Gold S.E.已接納山東黃金香港的要約交易。
此外，根據卡帝諾日期為2020年12月24日的公告，卡帝諾得知Dongshan Investments Limited("Dongshan")有意作出每股卡帝諾股份1.20澳元的場外收購要約，以收購卡帝諾的全部已發行股本，惟須受若干條件所規限，當中包括澳洲外國投資審查委員會(Australian Foreign Investment Review Board)及其他監管批准、50.1%最低接納條件、取得融資及完成盡職調查("Dongshan建議")。鑑於山東黃金香港已收購全部卡帝諾股份50%以上的相關權益，顯然將無法滿足Dongshan建議所附的已宣佈最低接納條件。目前看來，Dongshan建議其他已宣佈條件亦不大可能全面達成或於短期內達成。
