美康生物(300439.SZ)完成整合部分業務及調整部分全資和參控股公司股權架構
格隆匯12月23日丨美康生物(300439.SZ)公佈，為更好地理順公司自產體外診斷產品、代理體外診斷產品及第三方醫學診斷服務三大業務板塊的管理關係，優化公司運行架構和資源配置，進一步提升公司管理效率並強化各業務板塊權責，公司董事會同意將部分全資子公司、控股子公司和參股公司的股權按照業務板塊類別分別劃轉至全資子公司寧波美康盛德醫學檢驗所有限公司(以下簡稱“盛德醫檢所”)及寧波美康盛達生物科技有限公司(以下簡稱“美康盛達”)，
將全部主營業務為第三方醫學診斷服務的子公司股權整體劃轉至全資子公司盛德醫檢所，並由盛德醫檢所進行承接和管理。包括：杭州美康盛德醫學檢驗實驗室有限公司100%股權、南昌美康盛德醫學檢驗實驗室有限公司100%股權、新餘美康盛德醫學檢驗實驗室有限公司100%股權、鄭州美康盛德醫學檢驗所有限公司100%股權、撫州美康盛德醫學檢驗所有限公司100%股權、深圳美康盛德醫學檢驗實驗室100%股權、湖州美康盛德醫學檢驗實驗室有限公司100%股權、諸暨美康盛德醫學檢驗實驗室有限公司100%股權、聊城美康盛達生物科技有限公司80%股權(持有聊城美康盛德醫學檢驗實驗室有限公司100%股權)、永城美康盛德醫學檢驗所有限公司61%股權、寧波美康基因科技有限公司51%股權。
將部分主營業務為代理體外診斷產品的貿易類子公司和參股公司股權整體劃轉至全資子公司美康盛達，並由美康盛達進行承接和管理。包括：浙江廣盛源醫療科技有限公司100%股權、內蒙古美康生物醫療器械有限公司80%股權、浙江湧捷醫療器械有限公司51%股權、內蒙古盛德醫療器械有限公司51%股權、重慶和盛醫療器械有限公司30%股權。
公司管理層和相關部門根據董事會的授權已經完成了本次股權轉讓調整相關協議的簽訂，並辦理完成了相關股權轉讓的工商變更登記手續。近日，上述全資子公司、控股子公司和參股公司取得了當地行政審批機關換髮的《營業執照》及相關變更通知書等憑證。
